Terms. The terms and conditions of each Policy Grant will be as follows:

By electing to participate in the Mimecast Limited (the “Company”) 2015 Employee Share Purchase Plan (the “Plan”) and completing the online enrollment process required by the Company, Participant hereby agrees to these Additional Terms and Conditions, including any special terms for Participant’s country set forth in the attached appendix (the “Appendix,” and together with these Additional Terms and Conditions, the “Agreement”). Participant understands, acknowledges and agrees that this Agreement, together with the Plan, the terms of which are incorporated herein by reference, govern Participant’s participation in the Plan. Capitalized terms used but not defined herein shall have the same meaning as in the Plan.

Terms. All capitalized terms when used herein shall have the same respective meanings as are given such terms in the Lease unless expressly provided otherwise in this Amendment.

TERMS. Whenever any words are used herein in the singular or in the plural, they shall be construed as though they were used in the plural or the singular, as the case may be, in all cases where they would so apply. The masculine pronoun shall be deemed to include the feminine and VICE VERSA, unless the context clearly indicates otherwise.

Terms. The term "affiliate" means any subsidiary, any officer, director or employee of the Company or any subsidiary, and any former officer, director or employee of the Company or any subsidiary.

Subject to the terms of this Plan, the Administrator will determine all terms and conditions of each Option, including but not limited to: # whether the Option is an “incentive stock option” which meets the requirements of Code [Section 422], or a “nonqualified stock option” which does not meet the requirements of Code [Section 422]; # the grant date, which may not be any day prior to the date that the Administrator approves the grant; # the number of Shares subject to the Option; # the exercise price, which may never be less than the Fair Market Value of the Shares subject to the Option as determined on the date of grant; # the terms and conditions of vesting and exercise; # the term, except that an Option must terminate no later than ten (10) years after the date of grant; and # the manner of payment of the exercise price.

Terms. Subject to the terms of this Plan, the Administrator will determine all terms and conditions of each SAR, including but not limited to: # whether the SAR is granted independently of an Option or in tandem with an Option; # the grant date, which may not be any day prior to the date that the Administrator approves the grant; # the number of Shares to which the SAR relates; # the grant price, which may never be less than the Fair Market Value of the Shares subject to the SAR as determined on the date of grant; # the terms and conditions of exercise or maturity, including vesting; # the term, provided that an SAR must terminate no later than ten (10) years after the date of grant; and # whether the SAR will be settled in cash, Shares or a combination thereof.

Terms. Whenever any words are used herein in the masculine, they shall be construed as though they were in the feminine in all cases where they would so apply; and whenever any words are used herein in the singular or in the plural, they shall be construed as though they were used in the plural or the singular, as the case may be, in all cases where they would so apply.
