TERMINATION OF EMPLOYMENT – COMPLETED PLAN YEAR. If Participant’s employment is terminated for any reason (including death, disability or retirement) other than Cause after the end of a Plan Year but before payment of incentives for such Plan Year, the Participant shall remain entitled to payment of incentives, if any, earned for such Plan Year. A Participant whose employment is terminated for Cause after the end of a Plan Year but before payment of incentives for such Plan Year shall not receive payment of any incentive for the completed Plan Year.

Plan Year. The twelve consecutive month period commencing on January 1 of each year.

Plan Year. “Plan Year” means a calendar year.

Plan Year Any Plan provision to the contrary notwithstanding, distributions under the Plan shall commence no later than the Participant’s Required Commencement Date With respect to distributions under the Plan made for the 2002 Plan Year, the Plan will apply the minimum distribution requirements of Code Section 401(a)(9) in accordance with the regulations under Code Section 401(a)(9) that were proposed on January 17, 2001, notwithstanding any provision of the Plan to the contrary This Section 9.2(a) shall remain in effect until December 31, 2002.

Plan Year This Section 4.2(b) shall apply to Company Matching Contributions made to the Plan with respect to the 2009 Plan Year. On May 15, 2009, there shall be allocated to the Company Matching Account of each eligible Participant or Former Participant as a Company Matching Contribution an amount of cash equal to the lesser of # 4% of the Participant’s Compensation paid between January 1, 2009 and May 15, 2009 (taking into account only Compensation earned while the Participant was eligible to participate in the Plan), and # the Participant’s Employee Contributions for such period. For each pay period between May 16, 2009 and December 31, 2009, there shall be allocated to the Company Matching Account of each eligible Participant or Former Participant as a Company Matching Contribution an amount of cash equal to the lesser of # 4% of the Participant’s Compensation paid during such pay period (taking

Third Plan Year. 4% for the third Plan Year of the Participant's participation in the QACA;

A Participant who incurs a Termination of Employment and is rehired prior to the later of the end of the Plan Year or the date the Bonus for such Plan Year is paid in cash, will continue Bonus Deferrals for such Plan Year in accordance with his or her election in effect immediately prior to the Termination of Employment.

Employment Termination. Pennypacker understands that his employment with [[Organization A:Organization]] is considered ended effective the Separation Date, based on Employee’s resignation.

Employment Termination. Except as set forth in Section 2(c) below and on [Schedule 1], upon the cessation of the Participant's services with the Company for any reason, all unvested PSUs shall be automatically forfeited as of such cessation of services. For purposes of this PSU award, services with the Company shall include services as an employee or director of, or consultant or advisor to, the Company or to a parent or subsidiary of the Company, or any successor to the Company.

Employment Termination. The Parties acknowledge and agree that Employee’s employment with the [[Organization A:Organization]] terminated on the Termination Date. Following the Termination Date, Employee shall not be, or represent that Employee is, an employee, agent, or representative of the [[Organization A:Organization]]. Without limiting the foregoing, the Parties agree to deem the termination to be a termination without “Cause” (as defined in the Employment Agreement) and Employee will no longer be an officer of the [[Organization A:Organization]] or any of its affiliates.
