Termination Notice and Procedure. (a) Any termination of the Executive’s employment during the Employment Period by the Company or the Executive (other than a termination of the Executive’s employment referenced in the second sentence of the definition of “Effective Date” in Exhibit A) shall be communicated by written Notice of Termination to the Executive, if such Notice is given by the Company, and to the Company, if such Notice is given by the Executive, all in accordance with the following procedures and those set forth in Section 22:

Each party entitled to indemnification under this [Section 13.8] (each, an “Indemnified Party”) shall give written notice to the party required to provide indemnification (the “Indemnifying Party”) promptly after such Indemnified Party has actual knowledge of any claim as to which indemnity may be sought, and shall permit the Indemnifying Party to assume the defense of any such claim or any litigation resulting therefrom, provided that counsel for the Indemnifying Party who shall conduct the defense of such claim or litigation, shall be approved by the Indemnified Party (whose approval shall not unreasonably be withheld), and the Indemnified Party may participate in such defense at such party’s expense, and provided further that the failure of any Indemnified Party to give notice as provided herein shall not relieve the Indemnifying Party of its obligations under this Agreement unless the failure to give such notice is materially prejudicial to an Indemnifying Party’s ability to defend such action and provided further, that the Indemnifying Party shall not assume the defense for matters as to which there is a conflict of interest or there are separate and different defenses. No Indemnifying Party, in the defense of any such claim or litigation, shall, except with the consent of each Indemnified Party, consent to entry of any judgment or enter into any settlement which does not include as an unconditional term thereof the giving by the claimant or plaintiff to such Indemnified Party of a release from all liability in respect to such claim or litigation.

Procedure for Notice. Tenant, at Tenant's option, may notify Landlord not more than once in any calendar year, if Tenant is interested in leasing space in the Project. Thereafter, Landlord shall notify Tenant (a "Negotiation Notice") from time to time when the Negotiation Space or any portion thereof becomes available for lease to third parties (other than Superior Right Holders) on a multi-tenant basis. A Negotiation Notice shall describe such available space.

Termination Notice. The Borrower shall have delivered a notice, which notice shall be conditional with the effectiveness of this Second Amendment, terminating the commitments under the Existing Credit Agreement and such commitments shall have been, or shall concurrently with the effectiveness of this Second Amendment be, terminated.

Termination Notice. The Termination Option shall be exercisable by Tenant by written notice (“Termination Notice”) to Landlord no less than, in the event of the Single Floor Termination, twelve (12) months prior to the Termination Effective Date, or, in the event of the Lease Termination, fifteen (15) months prior to the Termination Effective Date, the time for giving of such Termination Notice being of the essence of this Section. If Tenant fails to deliver to Landlord the Termination Notice on or before the applicable date, the Termination Option shall lapse and Tenant shall have no further right to terminate.
