Termination by the Company Without Cause or by Executive With Good Reason other than in conjunction with a Change of Control. If the Company terminates Executive’s employment without Cause or Executive resigns with Good Reason, then Company shall Pay Executive a lump sum cash payment equal to the sum of Executive’s annual Base Compensation.
Termination by the Company Without Cause or by the Executive for Good Reason not following a Change in Control of the Company. If other than following a Change in Control of the Company (which is covered by Section 10.1 above), the Company terminates Executives employment without Cause, or the Executive terminates employment for Good Reason, the company shall: # pay Executive (or Executives spouse or estate, should Executive die), a severance benefit equal to one (1) years salary, based upon Executives base annual salary immediately preceding his termination, plus any non-equity performance bonus earned in the twelve (12) months preceding his termination; # pay for (or reimburse Executive for the cost of) such Fringe Benefits as the Company is then obligated to pay Executive pursuant to Section 6.2 of this Agreement; and # pay Executive the value of Executives earned but unused vacation days, and unreimbursed business expenses up to the date of termination of employment.
Termination by the Company Without Cause or by Executive With Good Reason. If # Executive’s employment is terminated by the Company without Cause (as defined below) during the Employment Term or within 12 months following a Change of Control (as defined in the Company’s 2016 Equity Incentive Plan) if a Change of Control occurs within the Employment Term or # Executive terminates for Good Reason (as defined below), then, subject to Section 8, Executive will receive, in addition to the compensation set forth in Section 6, payment of the Executive’s Base Salary for the lesser of the remainder of the Employment Term and 12 months. Termination by the Company With Cause or by the Executive Without Good Reason . If the Company terminates the Executives employment for Cause or the Executive terminates his employment without Good Reason, then # the Company shall pay to the Executive, on the date of termination of employment, the Executives salary and earned bonus or other compensation, the value of the Executives earned but unused vacation days, and unreimbursed business expenses up to the date of termination of employment, and # the Executive shall not receive any severance pay.
