Term of Consulting Relationship. The term of this Agreement shall be from January 1, 2019 to December 31, 2019. Notwithstanding the foregoing, Consultant may terminate Consultant’s consulting relationship at any time, for any or no reason, on at least ten (10) days’ prior notice, and the Company may terminate Consultant’s consulting relationship for “Cause” immediately upon notice. For purposes of this Agreement, a termination shall be for Cause if any one or more of the following has occurred:

Consideration; Consulting Relationship. Although the Company has no obligation to do so, if you timely sign this Agreement, allow it to become effective, comply with your obligations under this Agreement (including without limitation satisfactorily transitioning your duties during the Transition Period, and, on or after the Separation Date, timely sign and return the Separation Date Release attached hereto as Exhibit B, and allow it to become effective, (collectively, the “Obligations”), then the Company will agree to retain you, and you agree to provide consulting services for the Company, under the following terms and conditions (the “Consulting Relationship”):

CONSULTING RELATIONSHIP. [[Wesbanco:Organization]] hereby retains Consultant to render Services (as hereinafter defined) as may be requested from time to time by the Chief Financial Officer of [[Wesbanco:Organization]] (the “CFO”) and the Chief Executive Officer of [[Wesbanco:Organization]] (the “CEO”). Consultant hereby agrees to render such Services for the compensation herein provided, agrees to be available at such times and in such places as are mutually agreeable and with reasonable notice, and agrees to give his best efforts to such Services so long as they shall be required hereunder.

Term of Consulting Relationship. The term of this Agreement shall be from January 15, 2020 through July 15, 2020 (the “Term”). Notwithstanding the foregoing, either the Company or Consultant may terminate Consultant’s consulting relationship and this Agreement at any time, for any or no reason, on at least ten (10) days’ prior notice.

This Agreement establishes an independent contractor relationship between the Parties, and all of the terms and conditions of this Agreement shall be interpreted in light of that relationship. The relationship of Company and Consultant for purposes of this Agreement is completely independent and unrelated to any other relationship that exists or may exist in the future between the Parties. This Agreement does not create any employer-employee, agency or partnership relationship. As an independent contractor, Consultant’s fees and expenses shall be limited to those expressly stated in this Agreement. Consultant shall not participate in Company’s fringe benefit plans or any other compensation or benefit plans that Company maintains for its own employees. Consultant represents and warrants that Consultant shall not knowingly or directly trade any stock of the Company in violation of any applicable Securities Laws.

Employment or Consulting Relationship. I understand and acknowledge that this letter does not alter, amend or expand upon any rights I may have to continue in the employ of, or in a consulting relationship with, or the duration of my employment or consulting relationship with, the Company under any existing agreements between the Company and me or under applicable law. Any employment or consulting relationship between the Company and me, whether commenced prior to or upon the date of this letter, shall be referred to herein as the “Relationship.”

“Term” means the period from the beginning of my employment or consulting relationship with the Company, whether on a full-time, part-time or consulting basis, through the last day of such employment or consulting relationship.

Notwithstanding the foregoing, either party may terminate this Agreement for any reason upon 30 days prior written notice. In addition, the Company may terminate Consultant’s consulting relationship for “Cause” immediately upon notice. For purposes of this Agreement, a termination shall be for Cause if any one or more of the following has occurred:

Employment or Consulting Relationship. I understand and acknowledge that this Agreement does not alter, amend or expand upon any rights I may have to continue in the employ of, or in a consulting relationship with, or the duration of my employment or consulting relationship with, the Company under any existing agreements between the Company and me or under applicable law. Any employment or consulting relationship between the Company and me, whether commenced prior to or upon the date of this Agreement, shall be referred to herein as the “Relationship.”
