TERM/TERMINATION. This Agreement shall be effective for 5 years, and this may be amended to any time with written consent of both parties.

The Consultant shall serve as a Special Advisor beginning on the Effective Date for a three (3)-month period, unless such period is earlier terminated in accordance with Sections 1(c) or 1(d) below (the applicable period, the “Term”). During the Term, the Consultant shall provide general advisory services to the Company as requested by the President and Chief Executive Officer of the Company, including, without limitation, attending meetings upon request, and providing advice and assistance as requested with respect to the transition and integration of [[Organization A:Organization]] into the Bank (the “Services”).

10.1Term. The initial term of this Agreement is for a period of twelve (12) months from the Effective Date, unless earlier terminated as provided in [Section 10.2 or 10.3]3] below. After the initial term, provided this Agreement has not been earlier terminated, it will automatically renew on its anniversary date for 12 month terms, unless either Client or Consultant provides 30 days’ written notice to the other party prior to any such anniversary date that the Agreement will not renew. If either Client or Consultant choose not to renew this Agreement, then Client may choose in its sole discretion to provide payment in lieu of notice to Consultant, further provided that Consultant must comply with the Release Requirement to receive any such payment.

TERM AND TERMINATION. This Agreement and the Director’s services hereunder shall commence on the date hereof and terminate upon the earlier of the following:

Term and Termination. The term of this Agreement shall be one year from the Effective Date; provided, however, that this Agreement shall automatically renew for successive 1-year periods unless either party gives the other party notice, at least 60 days in advance of the next renewal date, of such party’s intent that this Agreement terminate effective as of such next renewal date, in which case the Agreement shall terminate as of such next renewal date; provided further, however, that in the event a Change of Control that precedes the effective date of any such termination, the term of this Agreement shall extend at least until the one (1)-year anniversary of such Change of Control. Notwithstanding the foregoing, if the

Term and Termination. The term of this Agreement will commence on the date of execution and will end on December 31, 2019, and may be extended by mutual agreement of the Parties. Either party may terminate this Agreement for any reason at any time during the term by written notice directed to the other party given 30 days in advance of the termination date.

The Employee’s employment by the Employer shall be effective January 24, 2022 and will continue until terminated in accordance with the termination section 4.2 herein.

Term Advance Termination Fee. In the event the Term Advance is prepaid in full prior to January 31, 2020 by a lender other than Lender, Borrower shall pay the Term Advance Termination Fee to Lender.

The Executive acknowledges that nothing contained herein or otherwise stated by or on behalf of Parent or the Company modifies or amends the right of the Company to terminate the Executive at any time, with or without Cause. Termination shall become effective upon death or the delivery by the Company to the Executive of notice specifying such termination and the reasons therefor (i.e., [Sections 3(b)(ii) - (iv)])]) subject to any requirement for advance notice and an opportunity to cure provided in this Agreement, if and to the extent applicable.
