Term. Subject to the severance provisions of [Section 5] below, Executive’s employment with the Company shall initially be for a term of two years ending ​ (“Termination Date”) and shall thereafter automatically renew for one-year terms unless either party terminates the Agreement with 90 days prior written notice of termination before the end of the then current term.

Subject to the severance provisions offor termination provided in [Section 5] below, Executive’, the term of Executive's employment with the Company shall initially be for a termunder this Agreement will commence as of two years ending ​ (“Termination Date”(the "Effective Date") and shall thereafter automatically renew for one-year termswill terminate on ​ (the "Initial Period"); provided, however, that unless either party terminatesgives written notice to the Agreement with 90other party of an election not to extend or renew Executive's employment hereunder at least ninety (90) days prior written notice of termination beforeto the end of the then current term.Initial Period, or any anniversary thereof, the term of this Agreement will automatically be extended by successive one-year periods (each an "Extension"). The term of this Agreement, including the Initial Period and any Extension, is hereinafter referred to as the "Employment Term."

Term of Employment. Subject to the severance provisionsterms of [Section 5] below, Executive’s employment withthis Agreement, the Company shall initially beemploy Executive, and Executive shall serve the Company for a continuous term of two years endingbeginning on ​ (“Termination(the “Start Date”) and ending on the fifth anniversary of the Start Date (the “Initial Term”). On the day following the last day of the Initial Term and each anniversary thereof, the term of this Agreement shall thereafterbe extended automatically renew for one-additional one (1)-year periods (each, a “Renewal Term”), on the same terms and conditions as set forth in this Agreement (as may be modified in writing from time to time by the parties), unless either party terminatesgives the Agreement with 90 days priorother party written notice of termination beforeits decision not to renew the term of this Agreement at least one-hundred and twenty (120) days prior to the end of the then current term.Initial Term or any Renewal Term. Notwithstanding the foregoing, either party may terminate this Agreement prior to the expiration of the Term of Employment pursuant to, and with the effect set forth in, [Section 7]. The period between the Start Date and the termination or expiration of Executive’s employment hereunder or pursuant to [Section 7] is referred to herein as the “Term of Employment.”

Unless sooner terminated as provided in [Section 4], the Executive’s term of employment under this Agreement shall run for a period of three (3) years, plus one month, from the Effective Date to ​ (the “Initial Term”); provided that, the severance provisions of [Section 5] below, Executive’s term of employment withunder this Agreement will automatically be extended for one additional year commencing on ​ and on each annual anniversary of such date thereafter (each, a “Renewal Term”), unless terminated earlier under [Section 4] or unless the Company shall initially be for a term of two years ending ​ (“Termination Date”) and shall thereafter automatically renew for one-year terms unless either party terminates the Agreement with 90 days priorgives written notice of terminationnon-renewal to the Executive at least ninety (90) days before the endexpiration of the then Initial Term or then-current term.Renewal Term, as applicable.
