Repair and Maintenance. Tenant will, at its own expense, from time to time and at all times during the term hereof, maintain and keep the Premises, together with all fixtures and items of personal property used or useful in connection therewith, in as good order and condition as they now are or may be put in, reasonable wear and tear and damage by the elements and such casualty (unless caused by Tenant) against which insurance is not required of Tenant hereunder excepted. Landlord acknowledges that Tenant is not required to carry casualty insurance for damage to the Premises. Tenant will maintain the signs on the Premises and fix all potholes that may develop. Tenant will have the benefit of all warranties pertaining thereto. Tenant will remove snow and ice from the Premises and keep adjacent sidewalks clean and free from ice and snow.

#[[Organization A:Organization]], at its own cost and expense, will maintain sufficient maintenance and repair facilities (and shall keep on hand in quantity and quality and specification such spare parts and equipment as a Reasonable and Prudent Operator would maintain for operation of equipment such as the ISO Containers) and will conduct such repair and maintenance on the ISO Containers to ensure that the same are in good condition, complying in all material respects with # Applicable Laws, # Approvals; # the terms of this Agreement; # applicable manufacturer’s instructions and recommendations, # International LNG Container Standards (including applicable health and safety laws and environmental, noise and pollution laws (including notifications and reports) and # required insurance policy terms, conditions and provisions); in each case, performed by qualified and (if required by applicable standards) licensed personnel; provided, however, that in the event of a conflict between any of the priorities noted above, the priority with the lowest numeral noted above in this sentence shall prevail. [[Organization A:Organization]] will inspect and cause to be inspected the ISO Containers at such times and frequency and in such detail as is necessary to ensure compliance with the requirements set out herein (or to identify noncompliance), and will promptly report to [[Organization B:Organization]] the results of those inspections.

Repair, Maintenance and Testing. shall, at ’s sole cost and expense maintain and repair and improve, in accordance with the Management Standard, and pursuant to the specifications set forth in Exhibit K attached hereto (to the extent applicable to Maintenance Responsibilities), those portions of the Building and Premises (inclusive of improvements, fixtures and furnishings) which are Maintenance Responsibilities. shall have the right to reasonably modify and amend the terms and conditions of Exhibit K attached hereto, from time to time, provided that shall consult with prior to any such modification. shall comply with all Applicable Laws in connection with the Maintenance Responsibilities. At ’s option, if fails to comply with its obligations, as required in this Article 7, may, after written notice to , and after affording a reasonable time period within which to conduct such repair or improvement, and after providing a second notice setting forth ’s intention to engage in self-help (except in the event of an emergency, in which case no notice to shall be required), but need not, perform such obligations, and shall pay the reasonable cost thereof, including a reasonable percentage of the cost thereof sufficient to reimburse for all overhead, general conditions, fees and other costs or expenses arising from ’s involvement with such actions by forthwith upon being billed for same.

Laboratory Equipment: Financing, Replacement, Maintenance, Repair. Manager shall procure, finance or cause to be procured or financed for and on behalf of the Wound

Biorepository Equipment: Financing, Replacement, Maintenance, Repair. Manager shall procure, finance or cause to be procured or financed for and on behalf of the Provider and at Provider’s expense, any equipment along with appropriate certification and/or accreditation as necessary for such equipment and make such replacements and upgrades of Biorepository equipment as are reasonably requested by Provider. If Manager is prohibited from obtaining appropriate certifications or accreditations by federal or state law, Provider shall obtain such certifications and/or accreditations. Manager is responsible for such maintenance and repair of the Biorepository equipment as is reasonably requested by Provider. Manager will consult with Provider as appropriate with respect to such issues.

Tenant Repair Obligations. Tenant shall, throughout the Term, at its sole cost and expense, maintain, repair or replace as required, the Premises in a good standard of maintenance, repair and replacement as required, and in good and sanitary condition, all in accordance with the standards of First Class Life Sciences Projects, except for the Landlord Repair Obligations, whether or not such maintenance, repair, replacement or improvement is required in order to comply with applicable Laws ("Tenant's Repair Obligations"), including without limitation, all electrical facilities and equipment, including lighting fixtures, lamps, fans and any exhaust equipment and systems, electrical motors and all other appliances and equipment of every kind and nature located in the Premises; all communications systems serving the Premises; all of Tenant's security systems in or about or serving the Premises; Tenant's signage; interior demising walls and partitions (including painting and wall coverings), equipment, floors. Tenant shall additionally be responsible, at Tenant’s sole cost and expense, to furnish all expendables, including light bulbs, paper goods and soaps, used in the Premises.

Tenant’s Authorized Representative. Tenant designates, as Tenant’s authorized representative (“Tenant’s Authorized Representative”), Chris Hill as the individual authorized by Tenant to initial and sign all plans, drawings, change orders and approvals pursuant to this ES Work Letter. Landlord shall not be obligated to respond to or act upon any such item until such item has been initialed or signed or submitted in writing (as applicable) by Tenant’s Authorized Representative. Tenant may change Tenant’s Authorized Representative and/or name additional persons to serve as Tenant’s Authorized Representative (provided that Landlord may rely upon the authorization of any one of such persons) upon one (1) business day’s prior written notice to Landlord. Tenant agrees that Tenant’s Authorized Representative shall be reasonably available to meet and consult with Landlord’s Authorized Representative in person (in the vicinity of the Property) or by phone (at the election of Tenant’s Authorized Representative) as and when needed, upon reasonable prior notice by Landlord.

Tenant’s Proportionate Share. The parties hereby agree that the Building has been remeasured and now constitutes 126,124 rentable square feet. Accordingly, Tenant’s Proportionate Share of Building costs shall be 112,298/126,124=89%, and Tenant’s Proportionate Share of Project costs shall be 112,298/208,922=54%.
