[[Organization B:Organization]] hereby certifies that: # to the best of [[Organization B:Organization]]’s knowledge, as of the date of this Third Addendum without any independent inquiry, [[Organization B:Organization]] is not in default, nor does any condition or state of facts exist that with the passage of time or the giving of notice or both, would constitute a default, under the Lease as of the date hereof beyond any applicable cure period, # no consent, approval, order or authorization of, or registration or filing with, any third party is required in connection with the execution, delivery and carrying out of this Third Addendum or, if required, has been obtained, and # this Third Addendum has been duly authorized, executed and delivered so that it constitutes the legal, valid and binding obligation of [[Organization B:Organization]].
