Technical Publication contract clause examples

Publication. Consultant agrees to submit to a copy of any proposed manuscript or other materials to be published or otherwise publicly disclosed which contain information or any discussion relating to or the Consulting Services, at least thirty (30) days prior to submission for publication or disclosure, to enable to determine if patentable Developments or any Confidential Information of would be disclosed. Consultant will cooperate with in this respect and will delete from the manuscript or other disclosure any Confidential Information if requested by , and will assist in filing for patent protection for any patentable Developments described in those documents, prior to publication or other disclosure.

Publicity/Publication. Neither Party will publicly disclose the existence or substance of this Agreement, except as required by applicable laws or in filings with Regulatory Authorities. Neither Party will use the name of the other Party or of any of its employees without such Party’s prior written consent.

Technical Assistance. Northern shall reasonably collaborate with Spero in the further development of the Licensed Compounds. Such collaboration shall include Northern providing Spero with reasonable access by teleconference or in-person at Northern’s facilities to Northern personnel who have been involved in the research and development of the Licensed Compounds to provide Spero with a reasonable level of technical assistance and consultation in connection with the transfer of Northern Know-How.

Technical Capability. Farmee has the technical capability, personnel, and resources to fulfill its obligations under this Agreement and the obligations attributable to the Farmee Interest under the Contract.

Digital Publication Notice. The Settlement Administrator will supplement the direct notice program with a digital publication notice program that will deliver more than fifty million (50,000,000) impressions to likely Settlement Class Members. The digital publication notice campaign will run for at least one month and will contain active hyperlinks to the Settlement Website. The final digital notice advertisements, and the overall digital publication notice program to be used, shall be subject to the final approval of Defendants, which approval shall not be unreasonably withheld.

Ownership of Technical Information. As between the Parties, # all Intellectual Property Rights and inventions related primarily to a Product, whether developed pursuant to this Agreement or otherwise, shall be owned solely by TRIS during and after the Term of such Product, and # all Intellectual Property Rights used in the formulation, manufacture, Labeling and/or Packaging of a Product (excluding AYTU Marks), whether developed pursuant to this Agreement or otherwise shall be solely owned by TRIS during and after the Term of such Product.

This Attachment #2 describes Key Milestones, deliverables and required dates throughout the Project. Following the effective date of this Project Statement #1, the Parties may choose to revise the content of this Attachment #2, including delivery dates, milestones, etc. as mutually agreed. All such subsequent changes or revisions to these milestones, deliverables and dates are subject to ratification by and in meetings held by the Program Managers at and , and recorded in the Meeting Minutes and Project Schedule.
