Tangible Net Worth contract clause examples

Tangible Net Worth. Effective as of May 1, 2021, [Section 9.1] of the Loan Agreement is hereby amended to read in full as follows:

Tangible Net Worth. Tangible Net Worth not less than the sum of # $100,000,000, plus # commencing for the Fiscal Year ended nearest to April 30, 2023, an aggregate amount equal to 50% of its Consolidated Net Income (but, in each case, only if a positive number) for each completed Fiscal Year.

Tangible Net Worth. A Tangible Net Worth of at least $20,000,000[Reserved].

The Borrower must ensure that its Tangible Net Worth at all times is greater than [[Unknown Identifier]].

Tangible Net Worth. No Borrower will permit its Tangible Net Worth, at any time, to be less than $4,000,000.

Tangible Net Worth. Not permit the Tangible Net Worth of the Loan Parties to be:

Tangible Net Worth. On the initial Purchase Date, the Adjusted Tangible Net Worth of each Seller is not less than the Minimum Tangible Net Worth.

Minimum Tangible Net Worth. Tangible Net Worth as of the last day of each month, shall not be less than the Tangible Net Worth Requirement. As used herein:

Minimum Tangible Net Worth. Permit Consolidated Tangible Net Worth at any time to be less than the sum of # $3,249,276,000 plus # an amount equal to 75% of the Net Cash Proceeds received by the Borrower from issuances and sales of Equity Interests of the Borrower occurring after the last day of the fiscal quarter most recently ended prior to the Closing Date for which Borrower’s financial statements are publicly available (other than any such Net Cash Proceeds received in connection with any customary dividend reinvestment program).

Adjusted Tangible Net Worth. On the Closing Date, each Borrower Party’s Adjusted Tangible Net Worth are not less than the amounts set forth in [Section 7.01(w)(i)] hereof.
