Survival of Covenants. The provisions and restrictive covenants in this Section 9 shall survive the expiration or termination of this Agreement for any reason. The Executive agrees not to challenge the enforceability or scope of the provisions and restrictive covenants in this Section 9. The Executive further agrees to notify all future persons or businesses, with which the Executive becomes affiliated or employed by, of the provisions and restrictions set forth in this Section 9, prior to the commencement of any such affiliation or employment. If any of the provisions in this Section 9 are construed to be invalid or unenforceable in any respect, the parties agree that the same may be modified as the court may direct to make such provisions and covenants reasonable, and such modification shall not affect the remainder of such provision, and such provisions shall be given the maximum possible effect and the modified agreement shall be fully enforceable.

Any provision of this Agreement to the contrary notwithstanding, if this Agreement is terminated by the Company or Executive for any reason, the provisions and covenants of Sections 7, 8, 9 and 10 shall nevertheless remain in full force and effect in accordance with their respective terms, and shall be enforceable notwithstanding any claim Executive may have against the Company or any subsidiary of the Company.

Survival of Covenants. Each restriction set forth in Sections 6 and 7 shall survive the termination of the Executive’s employment with the Company. The existence of any claim or cause of action of the Executive against the Company, whether predicated on this Agreement or otherwise, shall not constitute a defense to the enforcement by the Company of any covenant contained in this Agreement. In the event an enforcement remedy is sought under Section 8, the Restricted Period shall be extended by one day for each day the Executive failed to comply with the restriction at issue.

Survival of Restrictive Covenants. Upon termination of Executive’s employment for any reason whatsoever, the obligations of Executive pursuant to this Section IV shall survive and remain in effect for the periods described herein.

Without limitation of any other provisions of this Agreement, all representations and warranties set forth in this Agreement and the covenants set forth in Sections 4, 5 and 6 shall survive the termination of this Agreement for any reason for the maximum period permitted by law.

Restrictive Covenants; Survival. Executive hereby # reaffirms the rights and obligations contained within Section 7 (Confidential Information), Section 8 (Inventions), Section 9 (Cooperation and Assistance), Section 11 (Non-Solicitation) and Section 12 (Non-Disparagement), in each case, of the Employment Agreement (collectively, the “Continuing Obligations”), # understands, acknowledges and agrees that the Continuing Obligations will survive Executive’s termination of employment with the Company and remain in full force and effect in accordance with all of the terms and conditions thereof, and # represents and warrants that Executive has not violated any of the Continuing Obligations as of the date hereof. The Company confirms that other than the Continuing Obligations there are no Company-imposed restrictions on Executive’s activities following the Termination Date.

Survival of Covenants. All rights and covenants contained in Sections 3, 4, 5, and 6 of this Agreement, and all remedies relating thereto, shall survive the termination of this Agreement for any reason.

Survival of Covenants. The covenants and agreements of the Parties set forth in ARTICLE 4 and to be performed following the Closing shall survive the Closing and remain in full force and effect until performed or waived by the appropriate Party.
