Product Supply. Evoke shall supply the Product at ​ (and in the event the Committee decides to utilize a retail channel, the Parties agree to adjust such amount for such retail channel) to the Eversana [[Unknown Identifier]] division. Title to the Product supplied by Evoke shall transfer to Eversana or its Affiliate immediately (i.e. by way of flash title) before the Product is sold by Eversana or its Affiliate. Additional terms and conditions of a sales and distribution agreement (the “[[Unknown Identifier]] Agreement”) consistent with the foregoing will be negotiated in good faith between Evoke and Eversana’s [[Unknown Identifier]] division, and entered into within thirty (30) days of the Committee’s approval of the initial Commercialization Plan.

During the term of this Agreement, KU agrees to order and purchase Products exclusively from Alkermes in accordance the batch sizes and minimum order quantities set forth in [Schedule 4.1] and Alkermes agrees to supply Products exclusively to KU.

Supply of Product. During the term of this Agreement, Alba shall manufacture and supply to Ortho, and Ortho shall purchase from Alba, those quantities of Product ordered by Ortho in accordance with Article 4. The Parties acknowledge that Ortho is not obligated to buy any minimum or specific amount of Product under this Agreement except for the quantities of Product defined in [Schedule A] Part I that Ortho orders through binding purchase orders. Without limiting the effect of the foregoing, Ortho acknowledges that it will not place a purchase order for a batch size less than the minimum batch size, if any, set forth on [Schedule A]-1 and A-2.

Supply of Product. During the Term of this Agreement, West will manufacture the Product in accordance with the terms and conditions of this Agreement, the Quality Agreement and the Product Specifications and in compliance with Applicable Laws, and Customer will purchase from West such Product, subject to the terms and conditions of this Agreement. The geographic territory of this Agreement (including for the sake of clarity Customer’s distribution, sale, or transfer for subsequent resale of the Combination Product) is limited to the U.S. unless the parties mutually agree via an amendment to this Agreement to expand the geographic territory.

Supply of Product. At Licensor’s written request, Licensee will continue to use commercially reasonable efforts to manufacture or cause to be manufactured and to supply or cause to be supplied to Licensor such quantities of Licensed Compounds and Licensed Products (in bulk drug substance, bulk drug product, or finished drug product form, in each case to the extent Licensee manufactures or has manufactured such form(s) at the time of termination) as Licensor indicates in written forecasts and orders therefor from time-to-time at Licensee’s actual cost of goods for such Licensed Compounds and Licensed Products plus ​, until the earliest of # such time as Licensor has established an alternate, validated source of supply for such Licensed Compounds and Licensed Products, and Licensor is receiving supply from such alternative source, # ​ following the effective date of termination of this Agreement and # if, at the time of such termination, the manufacture of Licensed Compounds and Licensed Products is being conducted by Third Party manufacturers on Licensee’s behalf and all such agreements with such Third Parties can be assigned to Licensor (in whole or, if such agreements relate to products other than Licensed Products, in relevant part) and Licensor requests such assignment of such agreements, upon such assignment to Licensor of all such agreements. Licensor acknowledges and agrees that the terms under which Licensee manufactures and supplies Licensed Compounds and Licensed Products to Licensor hereunder will be subject to then existing terms and conditions of Licensee’s agreements with its manufacturers and suppliers.

Product Supply Payments. Apollomics shall pay [[GlycoMimetics:Organization]] for Licensed Products supplied by [[GlycoMimetics:Organization]] as set forth in Section 7.1 or in the clinical Supply Agreement and commercial Supply Agreement, if applicable.

Supply of the Product. Apellis will use Commercially Reasonable Efforts to supply or have supplied such quantities of the Product that conform in all material respects to the applicable release specifications that are necessary to conduct the Trial. The current manufacturer of the Product is set forth on [Exhibit L] (the “Manufacturer”).

Supply and Purchase of Product. Catalent shall Process Product in accordance with the Specifications, Applicable Laws and this Agreement.

During the ​, Client and its Affiliates shall purchase from Catalent no less than ​ of all of Client’s and its Affiliates’ requirements of Product ​; provided that the foregoing percentage will be increased to ​ if Catalent ​; and provided further that the foregoing shall cease to apply commencing on the first date of any Failure to Supply. For the avoidance of doubt, neither Client nor its Affiliates shall market or sell the Product outside of the Territory.
