Supply Agreements. The Parties will use reasonable efforts to negotiate, and enter into within ​ days following the Effective Date, a separate clinical supply agreement (and any other necessary ancillary agreements including a quality technical agreement), to fulfill all clinical supply requirements for the Licensed Product in the Kyorin Territory and to perform such other services for Kyorin as the Parties may agree (the “Clinical Supply Agreement”). Promptly following successful process validation for the Licensed Product, the Parties will use reasonable efforts to negotiate and enter into a separate commercial supply agreement (and any other necessary ancillary agreements including a quality technical agreement), to fulfill all commercial supply requirements for the Licensed Product in the Kyorin Territory and to perform such other services for Kyorin as the Parties may agree (the “Commercial Supply Agreement”, collectively, the “Supply Agreements”). The Supply Agreements will contain reasonable and customary terms and conditions as mutually acceptable to the Parties, provided that the Supply Agreements will include the key terms as set forth in a schedule to the Letter Agreement.

[ * ] Supply. Subject to Sections [ * ] shall be responsible, itself and/or through Affiliates or Third Party contract manufacturers, for the Manufacture and supply of [ * ] Compounds and Collaboration Products for use [ * ] in the Development and Commercialization under this Agreement, [ * ].

Supply Agreements. Within ​ after [[Nektar:Organization]] (but in no event later than the date on which the first shipment of any Nektar Asset, BMS Asset or Product, whether in Bulk Form or Finished Form, is supplied for use in a Collaboration Study or Independent Study) or within ​ after the Manufacturing Commencement Date, the Parties shall enter into supply agreements (each, a “Supply Agreement”) to govern forecasting, ordering, expiration dates, procedures for acceptance and rejection and other customary provisions for the supply of the Nektar Compounds, Products, Nektar Assets and the BMS Assets for the Collaboration Studies and Independent Studies. In addition, within a mutually agreed upon date reasonably prior to a Filing for Regulatory Approval of the initial BLA for a Product and on an ongoing basis thereafter

Supply Agreements. The Parties agree that the Clinical Supply Agreement and Commercial Supply Agreement shall contain terms substantially consistent with those contained in the supply agreement term sheet attached hereto as Exhibit D (the “Supply Agreement Term Sheet”) subject to deviations agreed by the Parties.

Supply Agreements. Verrica shall manufacture and supply, or have manufactured and have supplied, Product to Licensee for use in Clinical Trials and other development and registration activities with respect to Product in the Field in the Territory during the Transfer Price Payment Term, in accordance with # Applicable Law, # any requirements by the applicable Regulatory Authority for the Product in the Territory that are set forth in the Clinical Supply Agreement and/or the corresponding quality agreement, and # a written clinical supply agreement to be negotiated in good faith and entered into by the Parties as soon as practicable following the Effective Date and in accordance with the principles and terms set forth in [Exhibit 7.2] (the “Clinical Supply Agreement”). Verrica shall manufacture and supply, or have manufactured and have supplied, Product to Licensee for commercial distribution in the Field in the Territory during the Transfer Price Payment Term, in accordance with # Applicable Law, # any requirements by the applicable Regulatory Authority for the Product in the Territory that are set forth in the Commercial Supply Agreement and/or the corresponding quality agreement, and # a written commercial supply agreement to be negotiated in good faith and entered into by the Parties not later than the anticipated first MAA filing for the Product in the Field in the Territory and in accordance with the principles and terms set forth in [Exhibit 7.2] (the “Commercial Supply Agreement”). The Parties shall also agree on written quality agreements to be negotiated in good Confidential

Supply. [[Agenus:Organization]] shall have no further obligation to supply to [[Organization A:Organization]], its Affiliates or their respective Sublicensees and Subcontractors with [[Agenus:Organization]] Antibody.

Entire Agreement; Supply Agreements. This Agreement constitutes the entire agreement of the Parties with regard to its subject matter, and supersedes all previous written or oral representations, agreements and understandings between Parties. Notwithstanding the foregoing, following the execution of this Agreement, the Parties shall negotiate in good faith Supply Agreements (and/or an amendment hereto) reflecting the Parties understanding as to # minimum annual ordering obligations of PLUS THERAPEUTICS for the Manufacture of clinical and/or commercial supply of PLUS THERAPEUTICS Products; # the pricing and payment terms in connection therewith; and # the establishment of procedures for the forecasting of PLUS THERAPEUTICS ordering of its Products, among other things.
