Subsequent Registrations. Other than a Registration Statement pursuant to the Registration Rights Agreement, prior to the first to occur of # the Effective Date of a Registration Statement resulting in all Registrable Securities (as defined in the Registration Rights Agreement) being registered for resale pursuant to one or more effective Registration Statements or # such time as all Registrable Securities may be sold by the Investor without volume restrictions pursuant to Rule 144, the Company may not file any registration statement (other than on Form S-4 or Form S-8) with the Commission with respect to any securities of the Company, except as specifically set forth on [Schedule 6(b)] to the Registration Rights Agreement.

Subsequent Releases. Subject to [Section 11.4], # Poseida may not issue any other press releases or other public statements or announcement concerning this Agreement, the subject matter hereof, or the research, development, manufacturing or commercial results of Therapeutic Products, Licensed Products, Tier 1 Programs, Tier 2 Programs, or Collaboration Programs hereunder (a “Release”) without Roche’s prior written consent; and # Roche may not issue a Release without Poseida’s prior written consent if it includes reference to Poseida by name, in each case [(a) and (b)], subject to [Sections 11.3 and 11.4]4], such consents to not be unreasonably withheld, conditioned, or delayed (provided that inclusion of the financial terms set forth herein in such Release shall be an appropriate reason to withhold such consent). Each Party shall provide such consent (or explain why it is withholding consent) within ​ of receipt of a proposed Release from the other Party.

The Borrower shall complete the mortgage registration under the Mortgage Agreement over the Land within one-hundred and twenty (120) days after executing the Mortgage Agreement over the Land, provided that the Security Agent has, at the reasonable request of the Borrower, taken all necessary acts and delivered all necessary documents for the purpose of the mortgage registration.

Conditions Subsequent. Within a reasonable time after the Fourth Amendment Effective Date, but, in any event, not later than October 11, 2021, the Loan Parties shall deliver, or shall cause to be delivered, to the Administrative Agent a fully executed confirmation agreement with respect to the security documents governed by English law in the form agreed to by the Loan Parties and the Administrative Agent as of the Fourth Amendment Effective Date. For the avoidance of doubt, failure to perform the obligation set forth above by the date indicated (subject to any extension of such date as consented to by the Administrative Agent in its sole discretion) shall constitute an Event of Default under [Section 8.01(c)] of the Credit Agreement.

Subsequent Holders. This Note is not transferrable by its holder, except with the written consent of the Borrower, which consent shall not be unreasonably withheld. In the event that any holder of this Note transfers this Note for value, the Borrower agrees that except with respect to subsequent holders with actual knowledge of a claim or defense, no subsequent holder of this Note shall be subject to any claims or defenses which Borrower may have against a prior holder (which claims or defenses are not waived as to prior holders), all of which are waived as to the subsequent holder, and that all such subsequent holders shall have all of the rights of a holder in due course with respect to the Borrower even though the subsequent holder may not qualify, under applicable law, absent this paragraph, as a holder in due course.

Subsequent Alterations. Any subsequent alterations or improvements desired by Tenant after the completion of the Tenant Improvements shall be subject to the provisions of Paragraph 7.3 of the Lease.

Subsequent Elections. Except as otherwise permitted or required by Code [Section 409A], any [[Unknown Identifier]] Award which permits a subsequent Election to further defer the distribution or change the form of distribution shall comply with the following requirements:

Subsequent Adjustments. If any settlement with the Internal Revenue Service, foreign, state or local tax authority or court decision which has become final results in any adjustment to any item of income, deduction, loss or credit to the Contran Tax Group in respect of any taxable period subject to this Agreement, which, in any such case, affects or relates to any member of the KWI Group as constituted during such taxable period, the KWI Tax Group Liability shall be redetermined to give effect to such adjustment as if it had been made as part of or reflected in the original computation of the KWI Tax Group Liability and proper adjustment of amounts paid or owing hereunder in respect of such liability and allocation shall be promptly made in light thereof.

Subsequent Employment. Employee agrees that, following the termination of Employee’s employment with Crawford for any reason, Employee will notify any subsequent employer of the restrictive covenants contained in this Agreement. In addition, Employee authorizes Crawford to provide a copy of the restrictive covenants contained in this Agreement to third parties, including but not limited to, Employee’s subsequent, anticipated or possible future employer.
