The undersigned (the "Subscriber") hereby irrevocably subscribes for and agrees to purchase common shares in the capital of the Company, (as set out in [Schedule 1]) (the "Shares") of US$0.001 par value per Share (such subscription and agreement to purchase being the "Subscription"), for the total purchase price (as set out in [Schedule 1]) (the "Subscription Proceeds”), which is tendered herewith, on the basis of the representations and warranties and subject to the terms and conditions set forth herein.

Subject to the terms and conditions hereinafter set forth, the Subscriber hereby subscribes for and agrees to purchase from the Company such number of Shares as is set forth upon the signature page hereof at a price equal to ​ US per Share. Upon execution, the subscription by the Subscriber will be irrevocable.

Subject to the terms and conditions hereinafter set forth, the Subscriber hereby subscribes for and agrees to purchase the Shares from the Company at a price equal to $0.001 per share, and the Company agrees to sell the Shares to Subscriber in consideration of said purchase price. Upon execution, this subscription shall be irrevocable by Subscriber.
