The subordination provisions related to any Subordinated Debt or any other agreement, document or instrument governing any Subordinated Debt shall for any reason be revoked or invalidated, or otherwise cease to be in full force and effect, or any Person shall contest in any manner the validity or enforceability thereof or deny that it has any further liability or obligation thereunder, or the Obligations under the Loan Documents, for any reason shall not have the priority contemplated by this Agreement or any such subordination provisions; or

TheAny subordination provisions related toprovision in any Subordinated Debt or any other agreement, document or instrument governing Subordinated Debt, or any subordination provision in any guaranty by any Subsidiary of any Subordinated DebtDebt, shall for any reason be revoked or invalidated, or otherwise cease to be in full force and effect, or any Borrower or any other Person (including the holder of any applicable Subordinated Debt) shall contest in any manner the validityvalidity, binding nature or enforceability thereof or deny that it has any further liability or obligation thereunder, or the Obligations under the Loan Documents, for any reason shall not have the priority contemplated by this Agreement orof any such subordination provisions;provision; or
