Subcommittees. Acorda and Licensee may establish such subcommittees of the JSC as deemed necessary by the Parties. Each such subcommittee shall consist of the same number of representatives designated by each Party, which number shall be mutually agreed by the Parties. Each Party shall be free to change its representatives on notice to the other or to send a substitute representative to any subcommittee meeting; provided, however, that each Party shall ensure that at all times during the existence of any subcommittee, its representatives on such subcommittee are appropriate in terms of expertise and seniority for the then-current stage of Development and Commercialization of the Licensed Product in the Field in the Territory. Except as expressly provided in this Agreement, no subcommittee shall have the authority to bind the Parties hereunder and each subcommittee shall report to, and any decisions shall be made by, the JSC, subject to Section 3.5. The initial two subcommittees of the JSC will be the joint development committee (the “JDC”) and the joint commercialization committee (“JCC”).

Subcommittees. The Board of Managers may appoint such subcommittees as it deems advisable, each with an equal number of representatives from each Member.

Each Party shall be responsible for all of its own expenses incurred in connection with participating in all such meetings.

The Parties will have the right to appoint equal numbers of representatives to each subcommittee. No subcommittee established by the JSC will have the authority to bind the Parties hereunder and any such subcommittee will report to, and any decisions will be made by, the JSC.

From time to time, the JSC may establish additional subcommittees to oversee particular projects or activities within the scope of authority of the JSC, as it deems necessary or advisable. Each subcommittee will be composed of an equal number of representatives of each Party, as the JSC determines is appropriate from time to time, and will meet with such frequency as the JSC determines. If, with respect to a matter that is subject to a subcommittee’s decision-making authority, the subcommittee cannot reach unanimity, the subcommittee will refer the matter to the JSC for resolution.

Subcommittees. The JSC may form subcommittees as it deems appropriate to fulfill its responsibilities. If a subcommittee cannot reach agreement on any matter within its remit, such matter shall be submitted to the JSC for discussion and resolution prior to any further dispute resolution action being taken.

Subcommittees. From time to time, the Joint Steering Committee may establish subcommittees to oversee particular projects or activities within the scope of authority of the Joint Steering Committee, as it deems necessary or advisable. Each subcommittee shall consist of such number of representatives of each Party as the Joint Steering Committee determines is appropriate from time to time and shall meet with such frequency as the Joint Steering Committee shall determine.

Subcommittees. From time to time, the CPC may establish and delegate duties to sub-committees or directed teams (each, a “Subcommittee”) on an “as-needed” basis to oversee specific obligations of the Parties’ under this Agreement. Each such Subcommittee shall be constituted and shall operate as the CPC determines; provided, that each Subcommittee shall have equal representation from each Party, unless otherwise mutually agreed. Subcommittees may be established on an ad hoc basis for a specific purpose or on such other basis as the CPC may determine. Each Subcommittee and its activities shall be subject to the oversight, review and approval of, and shall report to, the CPC; provided, that in no event shall the authority of the Subcommittee exceed that specified for the CPC. All decisions of a Subcommittee shall be by consensus. Any disagreement between the designees of Sunovion and Urovant on a Subcommittee shall be referred to the CPC for resolution.
