Structuring Fee. The Company agrees to pay to Prudential on the date hereof a structuring fee of ​. Such payment shall be made to Prudential at the address for payments specified in [Schedule B] to the Agreement, or by such other method or at such other address as Prudential shall specify to the Company in writing for such purpose.

Structuring Fee. The Borrower shall have paid a fee to Natixis Securities Americas LLC pursuant to the letter agreement dated as of ​ by and among Natixis Securities Americas LLC, ABPCIC Funding III LLC and AB Private Credit Investors LLC.

4A(2) Payment of Structuring Fee TC \l "1". ​ shall have paid on or before the date hereof the Structuring Fee required pursuant to [Section 2B(8)(i)].

“Second Amendment Structuring Fee”: shall have the meaning specified in the Fee Letter.

“Structuring Fee” has the meaning set forth in the Administrative Agent Fee Letter.

“Structuring Fee” is defined in [Section 2D(i)].

2B(8)(i) Structuring Fee TC \l "1". In consideration for the time, effort and expense involved in the preparation, negotiation and execution of this Agreement, ​ will pay to or as directed by ​, on the date that is three months after the date hereof (or, if such date is not a Business Day, the next succeeding Business Day), a fully earned and non-refundable fee in the aggregate amount of ​; provided, however, that if # a minimum aggregate principal amount of ​ but less than ​ of Notes is purchased and sold during the first three months after the date hereof, then such fee shall be in the aggregate amount of ​, or # a minimum aggregate principal amount of ​ of Notes is purchased and sold during the first three months after the date hereof, then no such fee shall be payable (herein called the “Structuring Fee”).

“Sustainability Structuring Agents”: a collective reference to the Lead Sustainability Structuring Agent and the Co-Sustainability Structuring Agent.
