Stock Options. On the Effective Date, the Company shall grant to Employee options to purchase that number of shares of the Company’s Common Stock equal to two percent (2%) of the Company’s then issued and outstanding shares of common stock (including preferred stock on an as-converted basis) (“Employee Options”). The Employee Options shall have a 5-year term and the exercise price shall be equal to the 5-day average closing price of the Company’s Common Stock as of the Effective Date.

Stock Options. While you are employed by the Company, you will be eligible to participate in the Parent’s 2015 Omnibus Incentive Plan or such other equity-based long-term incentive compensation plan, program or arrangement generally made available to similarly situated senior executives of the Company from time to time (the “Plan”), as determined in the sole and absolute discretion of the Board of Directors of the Parent (the “Parent Board”) or authorized committee thereof.

Stock Options. In connection with this First Amendment, Employee will be awarded non-qualified stock options to purchase 100,000 shares of the Company’s common stock, par value per shares (the “New Options”). [Section 3(d)(i)] of the Employment Agreement, as amended by this First Amended, shall be deemed to apply to the New Options.

Stock Options. Any unvested stock options held by the Employee which were granted prior to shall become fully vested upon the Separation Date and, along with any vested but unexercised options from such grants, shall expire 5 years after the Separation Date or on the original expiration date of the grant, whichever date occurs first. All stock options granted in shall become fully vested upon the Separation Date and be exercisable until .

Vesting Period: Ratably over four (4) years, with twenty-five percent (25%) becoming exercisable on each of the first, second, third and fourth anniversary of the grant date, except as provided in the Plan.

Stock Options. The Committee (or, with respect to Directors, the Board) may grant Options in accordance with the Plan, the terms and conditions of which shall be set forth in an Agreement. Each Option and Option Agreement shall be subject to the following conditions:

Stock Options. Any outstanding stock options held by an employee as of the date of his or her Qualifying Retirement shall be exercisable only to the extent such stock options are exercisable as of such date or become exercisable pursuant to the terms of the underlying option award agreements and shall remain exercisable until the option expiration date.

Stock Options. The Executive shall be granted stock options under the Company’s 2011 Equity Incentive Plan entitling him to purchase 300,000 shares of common stock of the Company at an exercise price calculated as the closing price of the Company’s common stock on the Closing Date, as such term is defined in the Purchase Agreement (to which this Agreement is an exhibit), which options shall vest 40% after 24 months and thereafter the remaining 60% in equal monthly installments over the following 36 months, pursuant to a customary stock option agreement that will contain the terms pertaining to the stock options set forth in this [Section 3(b)], which the Executive and the Company shall enter into within ten (10) business days after this Agreement is executed by both of the parties.

Stock Options; Vesting. Subject to [Section 6(i)] hereof, each Option shall be exercisable in such installments (which need not be equal) and at such times as may be designated by the Committee or the Board as set forth in the Option Agreement. Unless otherwise provided in the Agreement, to the extent not exercised, installments shall accumulate and be exercisable, in whole or in part, at any time after becoming exercisable, but not later than the date the Option expires. Upon the death, Disability or Retirement of an Optionee, all Options shall become immediately exercisable, provided, however, that the Committee shall have the authority to grant Options that do not become immediately exercisable in the event of the death, Disability or Retirement of an Optionee by including such provision in the Option Agreement evidencing such Option. Notwithstanding the foregoing, the Committee (or, with respect to Directors, the Board) may accelerate the exercisability of any Option or portion thereof at any time.

Incentive Stock Options. An Option that the Board intends to be an “incentive stock option” as defined in Section 422 of the Code (an “Incentive Stock Option”) shall be granted only to employees of and shall be subject to and shall be construed consistently with the requirements of Section 422 of the Code. The Board and shall have no liability if an Option or any part thereof that is intended to be an Incentive Stock Option does not qualify as such. An Option or any part thereof that does not qualify as an Incentive Stock Option is referred to herein as a “Nonstatutory Stock Option.”
