Stock Certificates. The Company may require that any stock certificates issued in respect of shares of Restricted Stock, as well as dividends or distributions paid on such Restricted Stock, shall be deposited in escrow by the Participant, together with a stock power endorsed in blank, with the Company (or its designee). At the expiration of the applicable restriction periods, the Company (or such designee) shall deliver the certificates no longer subject to such restrictions to the Participant or if the Participant has died, to his or her Designated Beneficiary. “Designated Beneficiary” means # the beneficiary designated, in a manner determined by the Board, by a Participant to receive amounts due or exercise rights of the Participant in the event of the Participant’s death or # in the absence of an effective designation by a Participant, the Participant’s estate.

The Company shall issue the Award Shares and Achievement Shares, if any, either: # in certificate form as provided in Paragraph 6(b) below; or # in book entry form, registered in the name of the Participant with notations regarding any applicable restrictions on transfer imposed under this Agreement.

Stock Certificates. The Grantee hereby # acknowledges that the Common Stock issued with respect to a vested Performance Share Unit upon its settlement may be held in book entry form on the books of Registrar and Transfer Company (or another institution specified by the Company), and # agrees to sign such other powers and take such other actions as the Company may reasonably request to accomplish the transfer.

Once a Participant becomes entitled to receive Shares in connection with an Award under the Plan, the Company shall either # issue, in the name of the Participant, stock certificates representing the total number of Shares granted or sold to the Participant, as soon as may be reasonably practicable after such grant or sale, which shall be held by the Secretary of the Company until such time as the Shares are forfeited, resold to the Company, or the restrictions lapse, or # in lieu of issuing stock certificates, reflect the issuance of Shares to a Participant on a non–certificated basis, with the ownership of such Shares by the Participant evidenced solely by book entry in the records of the Company’s transfer agent. Each stock certificate issued, or each book-entry made, in respect of any Award subject to any restriction or forfeiture shall bear or be subject to the following legend:
