No Solicitation. The Employee shall not, during the Employment Term and the twenty four (24) month period following the Employment Term (the “Restriction Period”) directly or indirectly, solicit, entice, persuade, induce or cause any employee, officer, manager, director, consultant, agent or independent contractor of the Company to terminate his, her or its employment, consultancy or other engagement by the Company to become employed by or engaged by any individual, entity, corporation, partnership, association, or other organization (collectively, “Person”) other than the Company, or approach any such employee, officer, manager, director, consultant, agent or independent contractor for any of the foregoing purposes, or authorize or assist in the taking of any of such actions by any Person.

Employee Non-Solicitation. TheDuring the Restricted Period, Employee shall not, during the Employment Term and the twenty four (24) month period following the Employment Term (the “Restriction Period”) directly or indirectly, solicit, entice, persuade, induceexcept for the benefit of the Company, solicit or causeinduce, or attempt to solicit or induce, any employee, officer, manager, director, consultant, agentcontractor or independent contractorconsultant of the Company to terminate his, herterminate, reduce or its employment, consultancy or other engagement byotherwise alter to the detriment of the Company to become employed by or engaged by any individual, entity, corporation, partnership, association, or other organization (collectively, “Person”) other thansuch person’s business relationship with the Company, or approach any such employee, officer, manager, director, consultant, agent or independent contractor for any of the foregoing purposes, or authorize or assist in the taking of any of such actions by any Person.Company.

Non-Solicitation. TheDuring the Restriction Period, the Employee shall not, duringnot (other than on behalf of the Employment Term and the twenty four (24) month period following the Employment Term (the “Restriction Period”)Company), directly or indirectly, for the Employee’s own account or for the account of any other Person # solicit, entice, persuade,represent in any capacity (or otherwise be involved in any way), accept or transact any business with or from any Customers or prospective Customers that were Customers or prospective Customers at any time during the period within 3 years prior to the Termination of Employment, # take any action reasonably likely to damage the business or prospects of the Company, including without limitation inducing or attempting to induce or causeencourage any of such Customers or prospective Customers to withdraw or fail to renew any business with, or otherwise curtail, cancel or divert any business away from, the Company, or # solicit or hire (as an employee, officer, manager, director, consultant, agentindependent contractor, consultant or otherwise) any person, or solicit or facilitate the employment (as an employee, independent contractorcontractor, consultant or otherwise) of the Company to terminate his, herany such person by another entity or its employment, consultancyperson, who is employed or other engagementretained by the Company or who was employed or retained by the Company at any time during the period within 12 months prior to become employed by or engaged by any individual, entity, corporation, partnership, association, or other organization (collectively, “Person”) other than the Company, or approach any such employee, officer, manager, director, consultant, agent or independent contractor for anyTermination of the foregoing purposes, or authorize or assist in the taking of any of such actions by any Person.Employment.

No Solicitation. The Employee shall not, during the Employment Term and the twenty four (24) month period following the Employment Term (the “Restriction Period”) directly or indirectly, either during the term of employment or for a period of one (1) year thereafter, # solicit, entice, persuade,directly or indirectly, the services of any person who was an employee of or consultant to the Company Group, or otherwise induce such employee to terminate or causereduce such employment or consultancy, or # solicit the business of any employee, officer, manager, director, consultant, agent or independent contractorperson who was a customer of the Company to terminate his, her or its employment, consultancy or other engagement byGroup, in each case at any time during the Company to become employed by or engaged by any individual, entity, corporation, partnership, association, or other organization (collectively, “Person”) other than the Company, or approach any such employee, officer, manager, director, consultant, agent or independent contractor for anylast year of the foregoing purposes,term of employment. For purposes of this Agreement, the term “person” includes natural persons, corporations, business trusts, associations, sole proprietorships, unincorporated organizations, partnerships, joint ventures, limited liability companies or authorizepartnerships, and governments, or assist in the taking of any of such actions by any Person.agencies, instrumentalities or political subdivisions thereof.

During the Restricted Period, Employee shall not, during the Employment Term and the twenty four (24) month period following the Employment Term (the “Restriction Period”) directly or indirectly,indirectly: # solicit, entice, persuade,hire, recruit, attempt to hire or recruit, or induce the termination of employment of any employee of the Company; # solicit, contact (including but not limited to e-mail, regular mail, express mail, telephone, fax, and instant message), attempt to contact or causemeet with any employee, officer, manager, director, consultant, agent# existing or independent contractorprospective customer of the Company for purposes of offering or accepting goods or services similar to terminate his, her or its employment, consultancy or other engagementcompetitive with those offered by the Company to become employed by or engaged by any individual, entity, corporation, partnership, association, or other organization (collectively, “Person”) other than the Company, or approach any such employee, officer, manager, director, consultant, agent or independent contractor# competitor of the Company for any purpose related to the business or services of the foregoing purposes,competitor or authorizethe Company; or assist in# induce, influence or encourage any existing or prospective customer, supplier or other business partner of the takingCompany for purposes of any of such actions by any Person.diverting his business or services from the Company.

During the Restricted Period, Employee shall not, during the Employment Term and the twenty four (24) month period following the Employment Term (the “Restriction Period”) directly or indirectly,indirectly: # solicit, entice, persuade,hire, recruit, attempt to hire or recruit, or induce the termination of employment of any employee of the Company; # solicit, contact (including but not limited to e-mail, regular mail, express mail, telephone, fax, and instant message), attempt to contact or causemeet with any employee, officer, manager, director, consultant, agent# existing or independent contractorprospective customer of the Company for purposes of offering or accepting goods or services similar to terminate his, her or its employment, consultancy or other engagementcompetitive with those offered by the Company to become employed by or engaged by any individual, entity, corporation, partnership, association, or other organization (collectively, “Person”) other than the Company, or approach any such employee, officer, manager, director, consultant, agent or independent contractor# competitor of the Company for any purpose related to the business or services of the foregoing purposes,competitor or authorizethe Company; or assist in# induce, influence or encourage any existing or prospective customer, supplier or other business partner of the takingCompany for purposes of any of such actions by any Person.diverting their business or services from the Company.

Customer Non-Solicitation. TheDuring the Restricted Period, Employee shall not, during the Employment Term and the twenty four (24) month period following the Employment Term (the “Restriction Period”) directly or indirectly, solicit, entice, persuade, induce or cause any employee, officer, manager, director, consultant, agent or independent contractorexcept for the benefit of the Company to terminate his, herCompany, solicit or its employment, consultancyinduce, or other engagement by the Company to become employed by or engaged by any individual, entity, corporation, partnership, association, or other organization (collectively, “Person”) other than the Company, or approach any such employee, officer, manager, director, consultant, agent or independent contractor for any of the foregoing purposes, or authorize or assist in the taking of any of such actions by any Person.

Solicitation of Employees. I agree that for the period of my employment by Company and for twelve (12) months after the date of termination of my employment I will not, during the Employment Term and the twenty four (24) month period following the Employment Term (the “Restriction Period”)either directly or indirectly, solicit, entice, persuade, induce or causeattempt to solicit, or participate in the solicitation of, any employee, officer, manager, director, consultant, agentindependent contractor or consultant of Company to terminate his or her relationship with Company in order to become an employee, consultant or independent contractor to or for any other person or entity. This restriction is limited to those Company employees, consultants, and independent contractors # who held such status with Company as of the Companydate of my termination of employment or # who would have held such status as of the date of my termination of employment but for my having encouraged or solicited them to terminate his, her or its employment, consultancy or other engagement by the Company to become employed by or engaged by any individual, entity, corporation, partnership, association, or other organization (collectively, “Person”) other than the Company, or approach any such employee, officer, manager, director, consultant, agent or independent contractor for any of the foregoing purposes, or authorize or assist in the taking of any of such actions by any Person.their employment.
