Non-Solicitation. The Executive agrees, during the period in which she is employed by the Company and for one (1) year thereafter, not to solicit, or assist or induce any other person or entity in soliciting, any person who at that time is (or within the preceding ninety (90) days was) an employee of, or a consultant or independent contractor to, the Company to leave his or her employment, consultancy or independent contractor status with the Company.

Non-Solicitation. The Executive agrees, during the period in which she is employed by the CompanySolicitation of Employees. During Executive’s employment and for one (1) the one-year thereafter,period following termination of Executive’s employment for any reason (the “Coverage Period”), Executive hereby agrees not to, directly or indirectly, solicit, hire, seek to solicit,hire, or assist or induce any other person or entity (on her own behalf or on behalf of such other person or entity) in soliciting,soliciting or hiring any person who is at that time is (or within the preceding ninety (90) days was) an employee of,employee, consultant, independent contractor, representative, or a consultant or independent contractor to,other agent of the Company or any of its Affiliates to perform services for any entity (other than the Company or its Affiliates), or attempt to induce or encourage any such employee to leave histhe employ of the Company or her employment, consultancy or independent contractor status with the Company.its Affiliates.

Non-Solicitation. Thesolicitation. During the Employment Period and for a two-year period following the termination of the Executive's employment with the Company, the Executive agrees, duringshall not, directly or indirectly, on behalf of the period in which she is employed byExecutive or for any other business, person or entity, entice, induce or solicit or attempt to entice, induce or solicit any employee of the Company and for one (1) year thereafter, notor its Subsidiaries or other Affiliates to solicit,leave the Company's employ (or the employ of such Subsidiary or assistother Affiliate) or induceto hire or to cause any other person or entity in soliciting, any person who at that time is (or within the preceding ninety (90) days was) an employee of, or a consultant or independent contractor to,of the Company to leave his or her employment, consultancy or independent contractor status with the Company.become employed for any reason whatsoever.

Non-Solicitation. TheNonsolicitation of the Company’s Employees. Executive agrees,agrees that during the period in which she is employed by the Companyterm of this Agreement and for a period of one (1) year thereafter, notafter the termination of this Agreement, Executive will not, either directly or indirectly, separately or in association with others, interfere with, impair, disrupt or damage the Company’s business by soliciting, encouraging or recruiting any of the Company’s employees or causing others to solicit,solicit or assist or induceencourage any other person or entity in soliciting, any person who at that time is (or withinof the preceding ninety (90) days was) an employee of, or a consultant or independent contractor to, the CompanyCompany’s employees to leave his or her employment, consultancy or independent contractor statusdiscontinue their employment with the Company.

Non-Solicitation. TheSolicitation of Executives. During Executive’s employment and for a period of twelve (12) months after the termination of Executive’s employment for any reason, Executive agrees, during the periodshall not (other than in which shefurtherance of Executive’s legitimate job duties on behalf of Company), directly or indirectly, on Executive’s own behalf or for any other Person: # solicit for employment, hire or engage, or attempt to solicit for employment, hire or engage, any person who is or was employed by the Company and for one (1) year thereafter, not to solicit, or assist or induce any other person or entity in soliciting, any person who at that time is (or within the preceding ninety (90) days was) an employee of,six (6) month period prior to the solicitation or a consultanthire, or independent contractor to,# otherwise interfere with the employment relationship between any such person and the Company to leave his or her employment, consultancy or independent contractor status withGroup. Notwithstanding the Company.foregoing, nothing in this Agreement shall restrict general advertisements and general solicitations not directed specifically at persons employed by the Company Group.

TheSolicitation of Employees: Executive agrees,agrees that, during the period in which she is employed by the CompanyEmployment Period, and for one (1) year thereafter, nota period of twenty-four (24) months following the termination of Executive’s employment, regardless of the reason for such termination, Executive will not, directly or indirectly, solicit, or attempt to solicit, for employment, with Executive or assist or inducewith any other person or entity in soliciting,entity, any person who at that time is (or withinemployee of the preceding ninety (90) days was) an employee of, or a consultant or independent contractor to, the Company to leave his or her employment, consultancy or independent contractor status with the Company.

For a period of twelve months following the Termination Date, Executive agrees, duringshall not directly, or indirectly through others, knowingly induce or attempt to induce any officer, employee, consultant or other independent contractor of the period in which she isCompany currently employed or engaged by the Company with whom Executive had contact, knowledge of, or association in the course of Executive’s employment with the Company or any of its affiliates, as the case may be, to terminate his or her employment or engagement with the Company or any of its affiliates and for one (1) year thereafter, not to solicit,accept employment or assistengagement, directly or indirectly, with the Executive or induce such officer, employee or consultant or other independent contractor to commence employment with any other company or affiliates of a company, and shall not, either directly or indirectly through others, knowingly assist any other person or entity in soliciting,such an inducement and hiring (regardless of whether any person who at that time is (or within the preceding ninety (90) days was) an employee of, or asuch officer, employee, consultant or independent contractor to, the Company to leavewould commit a breach of contract by terminating his or her employment, consultancy or independent contractor status with the Company.employment).
