Solicitation of Employees. I agree that for a period of twelve (12) months immediately following the termination of my relationship with the Company for any reason, whether with or without cause, I will not either directly or indirectly solicit, induce, recruit or encourage any of the Company’s employees to leave their employment or the Company’s customers to remove or reduce their business with the Company, or take away such employees or customers, or attempt to solicit, induce, recruit, encourage or take away employees or customers of the Company, either for myself or for any other person or entity.

Solicitation of Employees. Executive shall not during the term of Executive’s employment and for a period of one (1) year following Executive’s termination of employment (the “Restricted Period”), directly or indirectly, solicit or attempt to solicit any employee of the Company or any of its affiliates to terminate his or her relationship with the Company or its affiliates in order to become an employee or consultant to or for any other person or entity, or otherwise encourage or solicit any employee of the Company or any of its affiliates to leave the Company or such affiliates for any reason or to devote less than all of any such employee’s efforts to the affairs of the Company.

To the fullest extent permitted under applicable law, the Employee agrees that through the Expiration Date, the Employee will not solicit any of the Company’s employees who hold a position uniquely essential to the management, organization, or service of the business to leave their employment at the Company. The Company and the Employee agree that this Section 10 supersedes the Employee’s obligations under Section 5 of the Confidentiality Agreement. This Section 10 shall not prohibit solicitations for employment by means of a general advertisement (e.g., newspaper, website or the equivalent) that is not targeted specifically at one or more employees of the Company.

Either Party may hire any personnel of the other Party who has responded to publicity for a position that has been publicized through local or national newspapers, Internet postings, radio or television advertising, job fairs, notices to colleges or technical schools, or placement professionals. Except as provided above, during the term of this Agreement or any SOW and for a period of 6 months thereafter, neither Party shall solicit any of the other Party’s employees or contractors who has been employed or engaged by the other Party over the preceding 12 month period and specifically worked on or in connection with this Agreement or any SOW.
