Exercise Price. The Committee shall fix the exercise price of each SAR or specify the manner in which the price shall be determined. A SAR may not have an exercise price less than 100% of the Fair Market Value of the Common Stock on the date of the grant.

The total purchase price to be paid to Seller by Purchaser for the Property shall be ​ (the “Purchase Price”), plus or minus prorations as hereinafter provided.”

Option Price. The Option Price per share of Common Stock purchasable under an Option shall be determined by the Committee at the time of grant but shall be not less than one hundred percent (100%) of the Fair Market Value of one (1) share of Common Stock on the Award Date.

SAR Price. The SAR Price per share of Common Stock shall be determined by the Committee at the time of grant but shall not be less than one hundred percent (100%) of the Fair Market Value of one (1) share of Common Stock on the Award Date.

Purchase Price. The aggregate purchase price for all of the Purchased Interests (the “Purchase Price”) shall consist of cash in an amount equal to # ​ (the “Base Purchase Price”) plus # 50.1% of the Final Excess Net Working Capital Amount.

Purchase Price. The Purchase Price for Property shall be ​ and allocated as follows:

Purchase Price. The Purchase Price for the Property is ​ (the "Purchase Price"). If all conditions precedent to Buyer's obligations to purchase have been satisfied, Buyer shall deposit the Purchase Price with the Closing Agent (as defined below) on or before the Closing Date.
