Delivery of Product and any other materials will be made FCA (Incoterms 2020), subject to Client completing any required export documentation, from Patheon’s Manufacturing Site unless otherwise agreed in a Product Agreement. Shipping. The Parties will negotiate in good faith and agree upon shipping requirements to be set forth in Exhibit A (Additional Terms).

Shipping. Subject to Section 5.6, Evoke (or its contract manufacturer) shall ship all Products to Eversana DAP (INCOTERM 2010) to the delivery destination specified in Eversana’s order and be responsible for all handling, transportation, freight and other charges for shipments of Product to Eversana. Unless otherwise agreed by the Parties in writing, Evoke will have sole discretion to determine the time, route, and carrier of all Product shipments.

Shipping. AgEagle shall use its best efforts to manufacture and prepare for shipment, by the delivery date specified on the Purchase Order, all accepted orders for the products to Raven, F.O.B. Origin.

Shipping Documentation. Each shipment shall be accompanied by commercially appropriate shipping documentation (including bills of lading, commercial invoice), which shall, at a minimum: # identify the shipment and batch numbers comprised in the shipment; # state any order number for the shipment that has been provided by SAVARA; and # show the destination to which such shipment is being sent. In addition, each shipment shall be accompanied by the applicable Material Safety Data Sheet and such additional documentation that SAVARA may reasonably require from time to time under this Agreement.

Shipping. The Supplier shall deliver Product to the Purchaser Free Carrier (manufacturing facilities of ​) and Ex Works (manufacturing facilities ​) (Incoterms® 2010). Delivery shall occur and all risk in the Product shall transfer from the Supplier to the Purchaser upon acceptance of the Product by the Purchaser’s transportation contractor. The Purchaser shall be responsible for all risk in transporting the Product to, and unloading the Product at, the point of delivery. The Supplier and the Purchaser shall enter into a Shipping Agreement within thirty (30) days of the Agreement Date setting out full shipping and delivery terms. For the avoidance of doubt, where Products are delivered Free Carrier (manufacturing facilities of ​), the Supplier will organize the export formalities and organize the pickup with the subcontractor transporting the Products in accordance with the Free Carrier Incoterms® 2010.

Shipping. Except as set forth herein, Supplier shall pay the costs of shipping such Products to S&W in accordance with its Orders (but, for the avoidance of doubt, S&W shall pay for the cost of any insurance on such Products after transfer of risk of loss and title of such Products as set forth in Section 4.1). In its shipment of Products, Supplier shall comply with S&W’s shipping guidelines in effect as of the Effective Date. If, in order to comply with S&W’s required Delivery Date, Supplier must ship by a more expensive way than specified in this Agreement or in an Order, any resulting increased transportation costs shall be paid for by Supplier unless the necessity for such rerouting or expedited handling has been caused by S&W.
