No Award Holder shall have any rights as a shareholder with respect to any Shares covered by an Award until the Award Holder becomes the holder of record of such Stock, and no adjustments shall be made for dividends or other distributions or other rights as to which there is a record date preceding the date such Award Holder becomes the holder of record of such Stock, except as provided in [Section 4].

Rights as a Stockholder. Except as otherwise provided herein, a Participant shall have anynone of the rights asof a shareholderstockholder with respect to any Shares covered by anany Award until the Award HolderParticipant becomes the record holder of record of such Stock, and no adjustments shall be made for dividends or other distributions or other rights as to which there is a record date preceding the date such Award Holder becomes the holder of record of such Stock, except as provided in [Section 4].Shares.

Rights as a Shareholder. The Holder shall havenot be entitled to any rights as a shareholderprivileges of ownership with respect to anythe Shares covered by an Award untilsubject to the Award unless and until, and only to the extent, such Shares become vested pursuant to [Section 3] hereof and the Holder becomes the holdera shareholder of record with respect to such Shares. Within thirty (30) days following each date on which the Company pays a cash dividend to record owners of Shares (a “Dividend Date”) and subject to Holder’s continued employment through the Dividend Date, the Holder shall receive a cash payment equal to the cash dividend paid per Share by the Company on such Stock, and no adjustments shall be made for dividends or other distributions or other rights asDividend Date multiplied by the total number of Shares subject to which there is a record date preceding the dateAward immediately prior to such Award Holder becomes the holder of record of such Stock, except as provided in [Section 4].Dividend Date.
