Severability. If any term, provision, covenant or restriction of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, void or unenforceable, the remainder of the terms, provisions, covenants and restrictions set forth herein shall remain in full force and effect and shall in no way be affected, impaired or invalidated, and the parties hereto shall use their commercially reasonable efforts to find and employ an alternative means to achieve the same or substantially the same result as that contemplated by such term, provision, covenant or restriction. It is hereby stipulated and declared to be the intention of the parties that they would have executed the remaining terms, provisions, covenants and restrictions without including any of such that may be hereafter declared invalid, illegal, void or unenforceable.

If any term,term , provision, covenantcovenant, or restriction of this Agreement is held by a courtto any extent illegal, otherwise invalid, or incapable of competent jurisdictionbeing enforced, such term shall be excluded to be invalid, illegal, voidthe extent of such invalidity or unenforceable, the remainder of the terms, provisions, covenants and restrictions set forth hereinunenforceability; all other terms hereof shall remain in full force and effecteffect; and, to the extent permitted and possible, the invalid or unenforceable term shall in no way be affected, impaired or invalidated,deemed replaced by a term that is valid and the parties hereto shall use their commercially reasonable effortsenforceable and that comes closest to find and employ an alternative means to achieve the same or substantially the same result as that contemplated by such term, provision, covenant or restriction. It is hereby stipulated and declared to beexpressing the intention of such invalid or unenforceable t erm. If application of this Severability provision should materially and adversely affect the parties that they would have executedeconomic substance of the remaining terms, provisions, covenants and restrictions without including anytransactions contemplated hereby, the Party adversely impacted shall be entitled to compensation for such adverse impact, provided the reason for the invalidity or unenforceability of a term is not due to serious misconduct by the party seeking such that may be hereafter declared invalid, illegal, void or unenforceable.compensation.

Severability. IfThe holding of any term, provision, covenant or restrictionprovision of this Agreement is heldto be invalid or unenforceable by a court of competent jurisdiction shall not affect any other provision of this Agreement, which shall remain in full force and effect. If any provision of this Agreement shall be declared by a court of competent jurisdiction to be invalid, illegal, voidillegal or unenforceable,incapable of being enforced in whole or in part, such provision shall be interpreted so as to remain enforceable to the remainder ofmaximum extent permissible consistent with applicable law and the terms, provisions, covenantsremaining conditions and restrictions set forth hereinprovisions or portions thereof shall nevertheless remain in full force and effect and enforceable to the extent they are valid, legal and enforceable, and no provisions shall in no way be affected, impaired or invalidated, and the parties hereto shall use their commercially reasonable efforts to find and employ an alternative means to achieve the same or substantially the same result as that contemplated by such term, provision,deemed dependent upon any other covenant or restriction. It is hereby stipulated and declared to be the intention of the parties that they would have executed the remaining terms, provisions, covenants and restrictions without including any of such that may be hereafter declared invalid, illegal, void or unenforceable.provision unless so expressed herein.

Moreover, if any one or more of the same or substantially the same result as that contemplated by such term, provision, covenant or restriction. It is hereby stipulated and declaredprovisions contained in this Agreement shall for any reason be held to be excessively broad as to duration, geographical scope, activity or subject, it shall be reformed by limiting and reducing it to the intention ofminimum extent necessary, so as to be enforceable to the parties that they would have executedextent compatible with the remaining terms, provisions, covenants and restrictions without including any of such that may be hereafter declared invalid, illegal, void or unenforceable.applicable law as it shall then appear.

It is hereby stipulated and declared to be the intentionoriginal intent of the parties as closely as possible in an acceptable manner in order that they would have executed the remaining terms, provisions, covenants and restrictions without including any of such that maytransactions contemplated hereby be hereafter declared invalid, illegal, void or unenforceable.consummated as originally contemplated to the fullest extent possible.
