Buyer’s Insurance. Buyer and Buyer’s Agents entering upon the Property shall carry the following: # property damage, bodily or personal injury or death insurance with limits of not less than $1,000,000 per occurrence, # excess (umbrella) liability insurance with limits of not less than $5,000,000 per occurrence (provided, however, that the immediately preceding requirement in clause (ii) shall not apply to Buyer’s Agents), # comprehensive automobile liability insurance with a $1,000,000 combined single limit, # employer’s liability insurance with a limit of $1,000,000 per occurrence; and # worker’s compensation insurance in compliance with applicable statutory requirements. Upon request of Seller, prior to any entry onto the Property by Buyer or Buyer’s Agents, Buyer shall deliver to Seller certificates evidencing that Buyer and Buyer’s Agents entering the Property carry and maintain the foregoing insurance, in all cases naming Seller as an additional insured party thereunder. Buyer’s insurance shall be on a primary and non-contributory basis.

Prior to and during any entry on the Property, Buyer shall secure and maintain at Buyer’s expense (or cause the relevant independent contractor hired by Buyer to enter on the Property to secure and maintain at that independent contractor's expense) the following policies of insurance, which are to include coverage of Buyer, its agents', employees' and contractors' activities at the Property: comprehensive general liability insurance (including property damage, bodily injury, personal injury, and contractual liability coverage) in amounts of One Million Dollars ($1,000,000) per occurrence and Two Million Dollars ($2,000,000) annual aggregate. The policies of insurance described in the preceding sentence shall name Seller as an additional insured. Buyer shall deliver certificates of insurance evidencing the insurance policies described in this (b)(iv) to Seller prior to the first entry on the Property by a Buyer Party. Any environmental contractor of Buyer which conducts environmental inspections of the Property shall, in addition to the insurance required of Buyer's agents

Prior to entry onto the Property and throughout the course of investigations and studies conducted on the Property, Buyer and Buyer’s agents and inspectors conducting such studies, shall obtain and maintain comprehensive general liability insurance covering Buyer, Buyer’s agents, or Buyer’s inspectors, entry on the Property and inspections thereof, which insurance shall be in an amount equal to One Million Dollars ($1,000,000.00) for any one occurrence or accident with an aggregate of Two Million Dollars ($2,000,000.00), and shall name Seller as an additional insured thereunder. Buyer shall, if and when requested by Seller, provide Seller with a copy of its certificate of insurance evidencing such insurance.
