Severability. Any provision of this Agreement which is unenforceable or invalid or contrary to law, or the inclusion of which would adversely affect the validity, legality or enforcement of this Agreement, shall be of no effect and, in such case, all the remaining terms and provisions of this Agreement shall subsist and be fully effective according to the tenor of this Agreement the same as though any such invalid portion had never been included herein. Notwithstanding any of the foregoing to the contrary, if any provisions of this Agreement or the application thereof are held invalid or unenforceable only as to particular Persons or situations, the remainder of this Agreement, and the application of such provision to Persons or situations other than those to which it shall have been held invalid or unenforceable, shall not be affected thereby, but shall continue valid and enforceable to the fullest extent permitted by law.

Severability. AnyIf any provision of this Agreement which is unenforceableAgreement, or the application thereof, shall, for any reason and to any extent, be invalid or unenforceable, or contrary to law, or the inclusion of which would adversely affect the validity, legality or enforcement of this Agreement, shall be of no effect and, in such case, all the remaining terms and provisions of this Agreement shall subsist and be fully effective according to the tenor of this Agreement the same as though any such invalid portion had never been included herein. Notwithstanding any of the foregoing to the contrary, if any provisions of this Agreement or the application thereof are held invalid or unenforceable only as to particular Persons or situations, the remainder of this Agreement,Agreement and the application of such provision to Personsother persons or situations other than those to which it shall have been held invalid or unenforceable,circumstances shall not be affected thereby, but rather shall continue valid and enforceablebe enforced to the fullestmaximum extent permitted bypermissible under applicable law.

Severability. AnyThe invalidity or unenforceability of any provision of this Agreement which is unenforceableshall not affect the validity or enforceability of any other provision of this Agreement. If any provision of this Agreement shall be held invalid or contrary to law, orunenforceable in part, the inclusionremaining portion of which would adversely affect the validity, legality or enforcementsuch provision, together with all other provisions of this Agreement, shall be of no effect and, in such case, all the remaining terms and provisions of this Agreement shall subsist and be fully effective according to the tenor of this Agreement the same as though any such invalid portion had never been included herein. Notwithstanding any of the foregoing to the contrary, if any provisions of this Agreement or the application thereof are held invalid or unenforceable only as to particular Persons or situations, the remainder of this Agreement, and the application of such provision to Persons or situations other than those to which it shall have been held invalid or unenforceable, shall not be affected thereby, but shall continueremain valid and enforceable and continue in full force and effect to the fullest extent permitted byconsistent with law.

Notwithstanding any of the foregoing to the contrary, if any provisions of this Agreement or the application thereof are held invalid or unenforceable only as to particular Persons or situations, the remainder of this Agreement, and the application of such provision to Persons or situations other than those to which it shall have been held invalid or unenforceable, shallsuch invalidity or unenforceability will not invalidate this Agreement as a whole, but this Agreement will be affected thereby, but shall continue validconstrued as though it did not contain the particular provision or provisions held to be invalid or unenforceable, and enforceablethe rights and obligations of the parties hereto hereunder will be construed and enforced only to the fullestsuch extent as will be permitted by applicable law.

Severability. AnyIf any term or provision of this Agreement which is unenforceableAgreement, or invalidthe application thereof to any person, entity or circumstance, shall, to any extent, be determined to be contrary to law, or the inclusionlaw and unenforceable by any court of which would adversely affect the validity, legality or enforcement of this Agreement, shall be of no effect and, in such case, alllaw, the remaining terms and provisions of this Agreement shall subsist and be fully effective according to the tenor of this Agreement the same as though any such invalid portion had never been included herein. Notwithstanding any of the foregoing to the contrary, if any provisions of this Agreement or the application thereof are held invalid or unenforceable only as to particular Persons or situations, the remainder of this Agreement, and the application of such provisionthereof to Persons or situations other than those to which it shall have been held invalid or unenforceable,persons, entities and circumstances, shall not be affectedinvalidated thereby, butand each term and provision hereof shall continue validbe construed with all other remaining terms and enforceableprovisions hereof to effect the intent of the parties to the fullest extent permitted byof the law.

Severability. AnyIn the event that any provision of this Agreement which is unenforceable or invalid or contrary to law, or the inclusion of which would adversely affect the validity, legality or enforcement of this Agreement, shall be of no effect and, in such case, all the remaining terms and provisionsportion of this Agreement shall subsist and be fully effective accordingdetermined to be invalid or unenforceable for any reason, the tenorremaining provisions or portions of this Agreement the same as though any such invalid portion had never been included herein. Notwithstanding any of the foregoing to the contrary, if any provisions of this Agreement or the application thereof are held invalid or unenforceable only as to particular Persons or situations, the remainder of this Agreement,shall be unaffected thereby and the application of such provision to Persons or situations other than those to which it shall have been held invalid or unenforceable, shall not be affected thereby, but shall continue validremain in full force and enforceableeffect to the fullest extent permitted by law.

AnyIf any provision of this Agreement which is unenforceable or invalid or contrary to law, or the inclusion of which would adversely affect the validity, legality or enforcement of this Agreement, shall be of no effect and, in such case, all the remaining terms and provisions(or portion thereof) of this Agreement shall subsist and be fully effective accordingheld by a court of competent jurisdiction to be invalid, void, or otherwise unenforceable, the tenor of this Agreement the same as though any such invalid portion had never been included herein. Notwithstanding any of the foregoing to the contrary, if anyremaining provisions of this Agreement or the application thereof are held invalid or unenforceable only as to particular Persons or situations, the remainder of this Agreement, and the application of such provision to Persons or situations other than those to which it shall have been held invalid or unenforceable, shall not be affected thereby, but shall continue valid andremain enforceable to the fullest extent permitted by law. Furthermore, to the fullest extent possible, the provisions of this Agreement (including, without limitation, each portion of this Agreement containing any provision held to be invalid, void, or otherwise unenforceable, that is not itself invalid, void, or unenforceable) shall be construed so as to give effect to the intent manifested by the provision held invalid, void, or unenforceable.

Notwithstanding any of the foregoing to the contrary, if any provisionsprovision of this Agreement or the application of any such provision or any portion thereof areto any person or circumstance, shall be held invalid or unenforceable only as to particular Personsunenforceable, the remaining portion of such provision and the remaining provisions of the Agreement, or situations, the remainder of this Agreement, and the application of such provision or portion of such provision is held invalid or unenforceable to Personsperson or situationscircumstances other than those as to which it shall have beenis held invalid or unenforceable, shall not be affected thereby, butthereby and such provision or portion of any provision as shall continuehave been held invalid or unenforceable shall be deemed limited or modified to the extent necessary to make it valid and enforceable to the fullest extent permitted by law.enforceable, in no event shall this Agreement be rendered void or unenforceable.

Notwithstanding any of the foregoing to the contrary, if any provisions of this Agreement or the application thereof areof any provision in this Agreement to any person or circumstances is held invalidinvalid, unenforceable or unenforceable only as to particular Persons or situations,otherwise illegal, the remainder of this Agreement,Agreement and the application of such provision to Personsanyother person or situations other than those to which it shall have been held invalid or unenforceable, shallcircumstances will not be affected thereby, but shall continueaffected, and the provisions so held to be invalid, unenforceable or otherwise illegal will be reformed to the extent (and only to the extent) necessary to make it enforceable, valid and enforceable to the fullest extent permitted by law.legal.
