Services Rendered. At the discretion of the Committee, Shares may be awarded under the Plan in consideration of services rendered to the Company or a Subsidiary prior to the award. If Shares are awarded without the payment of a Purchase Price in cash, the Committee shall make a determination (at the time of the Award) of the value of the services rendered by the Offeree and the sufficiency of the consideration to meet the requirements of Section 6(b).

Services Rendered. At the discretion of the Board of Directors, Shares may be awarded under the Plan in consideration of services rendered to the Company, a Parent or a Subsidiary prior to the award.

SERVICES. Consultant shall provide services described in [Exhibit 1] (“Services”) for the Company.

Services. The Executive will be employed by the Company as its Chief Financial Officer, reporting to the Company’s Chief Executive Officer, and shall perform such duties as are consistent with a position as Chief Financial Officer (the “Services”). The Executive agrees to perform such Services faithfully, to devote Executive’s full working time, attention and energies to the business of the Company and, while Executive remains employed and subject to the terms of this Agreement, not to engage in any other business activity that is in conflict with Executive’s duties and obligations to the Company.

. At the discretion of the Committee, Shares may be awarded under the Plan in consideration of services rendered to the Company or a Subsidiary. If Shares are awarded without the payment of a Purchase Price in cash, the Committee shall make a determination (at the time of the Award) of the value of the services rendered by the Participant and the sufficiency of the consideration to meet the requirements of Section 6(b).

Services Rendered. At the sole discretion of the Administrator and to the extent so provided in the agreements evidencing Awards of Shares under the Plan, Shares may be awarded under the Plan in consideration of services rendered to the Company or any Parent or Subsidiary prior to the Award.

Services. The Services will include, but will not be limited to, the following: Consultant shall make himself reasonably available to provide limited consulting and advisory services to the Company, at the request of the Company’s [[Organization A:Organization]] on strategic initiatives and other matters important to the business of the Company, for not more than eight (8) hours per month in the aggregate during regular business days and hours. The Company will make reasonable effort to accommodate Consultant’s availability when requesting Services.

Effect Termination on Payment for Services Rendered. In the event of the termination of this Agreement prior to the completion of the Term specified in Article 1 above, Consultant shall be entitled to the accrued fees and reimbursements (as specified in Article 3 above) earned or incurred by him prior to the date of termination of the Agreement.

Services Rendered. Shares may be awarded under the Plan in consideration of services rendered to the Company, a Parent or a Subsidiary prior to the award.

Services. During the Term, you shall provide consulting services to the Company regarding strategic matters on the terms and subject to the conditions of this consulting agreement. You agree that you will obtain advance written approval from Scott Hoffman before providing services to or becoming engaged by any other individual or entity.
