Manager; Servicer. Change its servicer for loans constituting a portion of the Collateral, without Lender’s prior written consent in its sole and absolute discretion.

Wells Fargo Bank, in any of its capacities hereunder, shall have no obligation to provide investment directions pursuant to [Section 2.10] or any other Section requiring investment directions from the Servicer.

The Borrower shall maintain at all times, a backup servicer with respect to the management, administration and servicing of all the Borrower Projects on terms and conditions reasonably acceptable to the Administrative Agent at the direction of the Required Lenders. The Administrative Agent (acting at the direction of the Required Lenders) acknowledges and agrees that it and the Lenders have approved the Backup Services Agreement.

Servicer Notice. To the extent not previously delivered, Sellers shall have provided to Buyer a Servicer Notice in the form of [Exhibit F] hereto addressed to, agreed to and executed by Servicer, Sellers and Buyer.

Servicer Approval. No Seller shall cause the Mortgage Loans to be serviced by any servicer other than a servicer expressly approved in writing by Buyer, which approval will be deemed granted by Buyer with respect to such Seller with the execution of this Repurchase Agreement.

The Company may not # terminate, remove, replace Servicer, Backup Servicer or the Custodian or # subcontract out any portion of the servicing or permit third party servicing other than the Backup Servicer, except, in each case, as expressly set forth in the applicable Credit Document and subject to satisfaction of the related requirements therein.
