Service with Related Companies. For purposes of determining whether a separation from service has occurred under the above provisions, “Commerce” shall include Commerce and all Related Companies.

Service with Related Companies. For purposes of determining whether a Separation from Service has occurred under the above provisions, the “Company” shall include the Company and all Related Companies. “Related Company” means: # any corporation that is a member of a controlled group of corporations (as defined in Code Section 414(b) that includes the Company); and # any trade or business (whether or not incorporated) that is under common control (as defined in Code Section 414(c) with the Company. For purposes of applying Code Sections 414(b) and (c), 50% is substituted for the 80% ownership level

Related Companies. The term "Related Company" means any company during any period in which it is a "parent company" (as that term is defined in Code section 424(e)) with respect to the Company, or a "subsidiary corporation" (as that term is defined in Code section 424(f)) with respect to the Company.

A Client Company will be ​ or an associate company. All such companies will be served at cost as provided in [Section III] and [Exhibit II].

Hovnanian Companies, LLC. (referred to throughout this Agreement as "Employer" or "Hovnanian"), and ​ (referred to throughout this Agreement as "Employee"), agree that:

Intermediaries that receive the proxy-related materials are required to forward the proxy-related materials to Non-Registered Holders unless a Non-Registered Holder has waived the right to receive them. Intermediaries often use service companies to forward the proxy-related materials to Non-Registered Holders.

With respect to the Registration Statement and whenever any Registrable Securities are to be registered pursuant to [Section 2] including on any New Registration Statement, the Company shall use its reasonable best efforts to effect the registration of the Registrable Securities in accordance with the intended method of disposition thereof and, pursuant thereto, the Company shall have the following obligations:

The Company is part of an international group of companies. For purposes of properly administrating HR related data within the group, it may be necessary for the Company to transmit personnel data to group companies or third party service providers within or outside Switzerland. The Employee expressly agrees to the transfer by the Company of her personnel data to any group company or any third party service provider that needs to access such data irrespective of whether it is based within or outside Switzerland.

“Retirement” or “Retires” means Separation from Service, for reasons other than death or Disability, on or after attaining normal retirement age or early retirement age as defined in the most applicable qualified retirement plan sponsored by the Related Company that employed the Participant immediately preceding the Separation from Service, without regard to whether the Participant is a participant in such plan, or if the employer Related Company does not sponsor such retirement plan, on or after attaining Normal Retirement Age or Early Retirement Age as defined in the ALLETE and Affiliated Companies Retirement Plan A, without regard to whether the Participant is a participant under the ALLETE and Affiliated Companies Retirement Plan A.

The Borrower ceases to own (directly or indirectly) 100% of the shares in any Distribution Company.
