Separation from Service Due to Death or Disability During Period of Restriction. In the event of a Participant’s Separation from Service because of death or Disability during the Period of Restriction, the Period of Restriction applicable to the Restricted Stock Units shall automatically terminate upon such Separation from Service.

In the event of a Participant’s Separation from Service because of death or Disability during the Period of Restriction, the Period of Restriction applicable to the Restricted Stock Units shall automatically terminate (that is, the Restricted Stock Units shall “vest”) upon such Separation from Service.

Death or Disability During Period of Restriction.Disability. In the event the service of a Participant’s Separation from Service becausethe Participant to the Board is terminated by reason of death or Disability during the Period of Restriction,Disability, the Period of Restriction applicable to the Restricted Stock Units shall automatically terminate (that is, the Restricted Stock Units shall “vest”) upon such Separation from Service.

InExcept as provided in [Section 16(a)(ii)(2)] below, in the event of a Participant’s Separation from Service because of death or Disabilityfor any reason other than those set forth in [Sections 9(d)] hereof during the Period of Restriction, then any Restricted Stock Units still subject to the Period of Restriction applicable toat the Restricted Stock Units shall automatically terminate upondate of such Separation from Service.Service automatically shall be forfeited and returned to the Company.

Notwithstanding the vesting schedule set forth in Paragraph 3, in the event of athe Participant’s Separation from Service because of death or Disability during the Period of Restriction, the Period of Restriction applicable to the remaining unvested Restricted Stock Units shall automatically terminate upon(that is, the unvested Restricted Stock Units shall “vest”) as of the date of such Separation from Service.Service, which date shall be the “Vesting Date” for the purposes of settlement of the Award.

Other. In the event the service of a Participant’s Separation from Service because of deaththe Participant to the Board is terminated for any reason other than Death or Disability during the Period of Restriction, then any Restricted Stock Units still subject to the Period of Restriction applicable toat the Restricted Stock Units shall automatically terminate upondate of such Separation from Service.Service automatically shall be forfeited and returned to the Company.

Notwithstanding [Section 3(a)], if a Participant terminates employment with the Company and the Related Companies prior to the last day of the Restricted Period of Restriction. Indue to the event of a Participant’s Separation from Service because of death or Disability during the PeriodDisability, then all of Restriction, the Period of Restriction applicable to the Restricted Stock Units shall automatically terminate uponsubject to the Participant’s Award will become fully vested as of the date of such Separation from Service.termination.
