Separation from Service. “Separation from Service”, “termination of employment,” “terminates employment” and similar terms mean the date that Executive separated from service within the meaning of Section 409A of the Code. Generally, Executive will separate from service if Executive dies, retires, or otherwise has a Separation from Service with the Company, determined in accordance with the following:

“Separation from Service. “SeparationService” means a “separation from Service”, “termination of employment,” “terminates employment” and similar terms mean the date that Executive separated from serviceservice” within the meaning of Section§ 409A of the Code. Generally,Code which occurs in connection with Executive’s termination of employment, and the Company and Executive will separateacknowledge and agree that such a “separation from service if Executive dies, retires,service” may come before, after or otherwise has a Separation from Servicecoincide with the Company, determined in accordance with the following:Executive’s Date of Termination.

Separation from Service.The terms “Separation from Service”, “termination of employment,” “terminates employment” and similar terms mean the date that Executive separatedthe participant separates from service within the meaning of Section 409A of the Code.[Section 409A]. Generally, Executive will separatea participant separates from service if Executivethe participant dies, retires, or otherwise has a Separation from Servicetermination of employment with the Company,Commerce, determined in accordance with the following:

Separation From Service. For purposes of this Agreement, termination of employment means a “separation from Service. “Separation from Service”, “termination of employment,” “terminates employment” and similar terms mean the date that Executive separated from service within the meaning ofservice” under Code Section 409A and Treasury Regulation Section 1.409A-1(h). For this purpose, whether a termination of employment has occurred is determined based on whether the Company and Executive reasonably anticipated that no further services would be performed after a certain date or that the level of bona fide services Executive would perform after such date (whether as an employee or as an independent contractor) would permanently decrease to less than twenty percent (20%) of the Code. Generally, Executive will separate from service if Executive dies, retires,average level of bona fide services performed (whether as an employee or otherwise has a Separation from Service withan independent contractor) over the Company, determined in accordance with the following:immediately preceding 36-month period.

Termination as Separation from Service. “SeparationThe termination of Executive's employment on the Termination Date constitutes a "separation from Service”, “termination of employment,” “terminates employment” and similar terms mean the date that Executive separated from serviceservice" within the meaning of [Section 409A] for purposes of any provision of this Agreement or other arrangement providing for the payment of any amounts or benefits subject to Section 409A upon or following a "separation from service" within the meaning of [Section 409A], and for purposes of any such provision of this Agreement, references to a "resignation from employment," "termination," "terminate," "termination of employment" or like terms shall also refer to Executive's "separation from service" on the Code. Generally, Executive will separate from service if Executive dies, retires, or otherwise has a Separation from Service with the Company, determined in accordance with the following:Termination Date.

Separation from Service. “SeparationReferences in this Agreement to “termination” of Executive’s employment, “resignation” by Executive from Service”, “termination of employment,” “terminates employment”employment and similar terms shall, with respect to such events that will result in payments of compensation or benefits, mean the date that Executive separatedfor such purposes a “separation from service within the meaning ofservice” as defined under Section 409A of the Code. Generally, Executive will separate from service if Executive dies, retires, or otherwise has a Separation from Service with the Company, determined in accordance with the following:

“Separation from Service. “SeparationService” means Executive’s termination of employment or service where such termination of employment or service constitutes a “separation from Service”, “termination of employment,” “terminates employment” and similar terms mean the date that Executive separated from serviceservice” within the meaning of Treasury Regulation Section 409A of the Code. Generally, Executive will separate from service if Executive dies, retires, or otherwise has a Separation from Service with the Company, determined in accordance with the following:1.409A-1(h).

“Separation from Service. “Separation from Service”, “termination shall mean a termination of employment,” “terminates employment” and similar terms mean the date that Executive separatedemployment or other separation from service withinfrom the meaning ofCompany, as described in Code Section 409A and the regulations thereunder, including, but not limited to a termination by reason of Retirement or involuntary termination without Cause, but excluding any such termination where there is a simultaneous re-employment by the Code. Generally, Executive will separate from service if Executive dies, retires, or otherwise has a Separation from Service with the Company, determined in accordance with the following:Company.

“Separation from Service. “Separation from Service”, “termination shall mean a termination of employment,” “terminates employment” and similar terms mean the date that Executive separatedemployment or other separation from service withinfrom the meaning ofCompany, as described in Code Section 409A and the regulations thereunder, including, but not limited to a termination by reason of Retirement or involuntary termination without Cause, but excluding any such termination where there is a simultaneous re- employment by the Code. Generally, Executive will separate from service if Executive dies, retires, or otherwise has a Separation from Service with the Company, determined in accordance with the following:Company.
