Secured Note. This Note is secured by that certain Pledge and Security Agreement of even date herewith, entered into by and between Maker and Payee (the “Pledge Agreement”). All capitalized terms not otherwise defined herein shall have the meanings given in the Pledge Agreement.

Note: Other Obligations Secured. This Deed of Trust is given to secure to Lender:

Upon the terms and subject to the conditions herein, in consideration for the Additional Notes, GEG shall acquire from MAST and MAST shall sell, transfer, assign, and convey to GEG, free and clear of all taxes, liens, security interests, options, purchase rights or other encumbrances, the MAST Secured Note.
