Agent and the Lenders shall have received, at least five Business Days before the Sixth Restatement Effective Date, all documentation and other information required to complete # Patriot Act searches, OFAC/PEP searches and customary individual background checks for each Loan Party, # OFAC/PEP searches and customary individual background searches for each Loan Party’s senior management and key principals, the results of which shall be satisfactory to Agent and the Lenders, and # all other documentation and other information required by regulatory authorities under applicable “know your customer” and anti-money laundering rules and regulations, including, without limitation, the PATRIOT Act, in each case, to the extent requested in writing at least ten Business Days before the Sixth Restatement Effective Date;

Patriot Act. Each Lender that is subject to the requirements of the Patriot Act hereby notifies Borrower that pursuant to the requirements of the Act, it is required to obtain, verify and record information that identifies Borrower, which information includes the name and address of Borrower and other information that will allow such Lender to identify Borrower in accordance with the Patriot Act. In addition, if Agent is required by law or regulation or internal policies to do so, it shall have the right to periodically conduct # Patriot Act searches, OFAC/PEP searches, and customary individual background checks for the Loan Parties and # OFAC/PEP searches and customary individual background checks for the Loan Parties' senior management and key principals, and Borrower agrees to cooperate in respect of the conduct of such searches and further agrees that the reasonable costs and charges for such searches shall constitute Lender Group Expenses hereunder and be for the account of Borrower.

Section # During the Contract Period, except if consented to in writing by [[Organization A:Organization]] [[Organization B:Organization]] shall not communicate with any governmental or quasi-governmental agencies or authorities regarding the Property or any aspect thereof except in connection with obtaining municipal searches, title searches, zoning reports or other customary reports obtained by purchasers in transactions of this nature.

Promptly following the execution of this Agreement, Purchaser shall have the right to order and, if so ordered, upon receipt will deliver to Seller commitments (collectively, the "Commitments" and, individually, a "Commitment") for ALTA Form Owner's Policies of Title Insurance for each of the Properties, from a title company, along with copies of all instruments described in [Schedule B] of each Commitment (collectively, the "Exception Documents"), in the amount of the Purchase Price allocated to each Property. Purchaser shall pay all costs in connection with the Commitments.

the Administrative Agent shall have received the results of recent UCC, tax and judgment Lien searches with respect to the Borrower, each Pledgor and each Pledged Subsidiary, and such searches shall reveal no Liens except for Liens permitted hereunder or to be discharged on the First Amendment and Restatement Effective Date (or with respect to which arrangements reasonably satisfactory to the Administrative Agent shall have been made to discharge such Liens); and

(A) searches of UCC filings in the jurisdiction of incorporation or formation, as applicable, of each [[Loan Party:Organization]] and each jurisdiction where any Collateral is located or where a filing would need to be made in order to perfect the [[Administrative Agent:Organization]]’s security interest in the Collateral, copies of the financing statements on file in such jurisdictions and evidence that no Liens exist other than Permitted Liens and # tax lien, judgment and bankruptcy searches;

copies of UCC, United States Patent and Trademark Office and United States Copyright Office, tax and judgment lien searches in United States search locations, copies of the charges register (if any) from Companies House in the United Kingdom for all Loan Parties incorporated in the United Kingdom, lien searches at the greffe of the competent commercial court in France for all Loan Parties incorporated in France, and lien searches from the Personal Property Securities Register in Australia for all Loan Parties incorporated in Australia and the Company, each of a recent date listing all effective financing statements, lien notices or comparable documents (together with copies of such financing statements and documents) that name any Loan Party as debtor and that are filed in those state and county jurisdictions in which any Loan Party is organized or maintains its principal place of business and such other searches that the Administrative Agent reasonably requests, none of which encumber the Collateral covered by the Collateral Documents (other than Liens permitted pursuant to [Section 7.01]); and

stamp, filing or similar taxes, fees and other charges for # lien searches and # filing financing statements and continuations, and other actions to perfect, protect, and continue the Administrative Agent’s Liens;

certified copies, dated as of a recent date, of financing statement searches, as Bank may request, accompanied by written evidence (including any UCC termination statements) that the Liens indicated in any such financing statements either constitute Permitted Liens or have been or, in connection with the initial Credit Extension, will be terminated or released;

“Satisfactory Search Results” means the results of credit history check, litigation, lien, bankruptcy, judgment and other similar searches with respect to the applicable transferee and any of its Search Affiliates, in each case, # revealing no matters which the Agent has reasonably determined would result in a Material Adverse Change; and # demonstrating that any transferee is not an Embargoed Person.
