Searches contract clause examples

Searches. Agent shall have received such lien, tax, judgment, pending litigation and bankruptcy searches with respect to the Borrowers as it reasonably requires;

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Borrower and its Restricted Subsidiaries are located, and such search shall reveal no liens on any of the assets of the Borrower or any Restricted Subsidiary except for liens not prohibited by this Agreement or Liens discharged on or prior to the Closing Date or with respect to which are to be discharged pursuant to documentation reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received, in form and substance satisfactory to the Administrative Agent # searches of UCC filings in the jurisdiction of incorporation or formation, as applicable, of each Loan Party, copies of the financing statements on file in such jurisdictions and evidence that no Liens exist other than Permitted Liens and # tax lien, judgment and bankruptcy searches.

Lien Searches. The results of UCC, tax lien and judgment lien searches showing all financing statements and other documents or instruments on file against Borrower and each other Obligated Party in the appropriate filing offices, such search to be as of a date no more than thirty (30) days prior to the date of the initial Credit Extension, and reflecting no Liens against any of the intended Collateral other than Liens being released or assigned to Administrative Agent concurrently with the initial Credit Extension;

(A) searches of UCC filings in the jurisdiction of incorporation or formation, as applicable, of each [[Loan Party:Organization]] and each jurisdiction where any Collateral is located or where a filing would need to be made in order to perfect the [[Administrative Agent:Organization]]’s security interest in the Collateral, copies of the financing statements on file in such jurisdictions and evidence that no Liens exist other than Permitted Liens and # tax lien, judgment and bankruptcy searches;

copies of UCC, United States Patent and Trademark Office and United States Copyright Office, tax and judgment lien searches in United States search locations, copies of the charges register (if any) from Companies House in the United Kingdom for all Loan Parties incorporated in the United Kingdom, lien searches at the greffe of the competent commercial court in France for all Loan Parties incorporated in France, and lien searches from the Personal Property Securities Register in Australia for all Loan Parties incorporated in Australia and the Company, each of a recent date listing all effective financing statements, lien notices or comparable documents (together with copies of such financing statements and documents) that name any Loan Party as debtor and that are filed in those state and county jurisdictions in which any Loan Party is organized or maintains its principal place of business and such other searches that the Administrative Agent reasonably requests, none of which encumber the Collateral covered by the Collateral Documents (other than Liens permitted pursuant to [Section 7.01]); and

stamp, filing or similar taxes, fees and other charges for # lien searches and # filing financing statements and continuations, and other actions to perfect, protect, and continue the Administrative Agent’s Liens;

Section # Liens. As of the First Advance, the Project is free from any prior liens, other than liens permitted by Lender that will be satisfied from loan proceeds at First Advance. All taxes and assessments affecting the Property or any part thereof due and payable (including without limitation any taxes) have been paid. The Property is not impaired by any existing undisclosed covenants, conditions, or restrictions. At the request of Lender, Borrower shall # deliver to Lender the results of Uniform Commercial Code lien searches, satisfactory to Lender, # the results of federal and state tax lien and judicial lien searches and pending litigation and bankruptcy searches, in each case satisfactory to Lender, and # Uniform Commercial Code or other lien termination statements reflecting termination of all liens previously filed by any Person and not expressly permitted pursuant to the LOC Documents.

We have conducted or caused to be conducted searches against Arrow Canada and against the names of its predecessors in title listed in [Schedule 3], under the statutes and at the offices of public record set out in [Schedule 3], the results of which searches were current in each case only to the respective times on the respective dates set out in [Schedule 3]. Such statutes and public offices are the only statutes and public offices where, under Ontario Law and Quebec Law, transfers of interests in accounts receivable would ordinarily or customarily be the subject of a recording, filing or registration in order to create, validate, preserve, perfect or protect such transfers with respect to each of the corporations named in [Schedule 3]. Such searches disclosed no security interests registered or recorded which might affect the Seller Affected Assets, except as set out in [Schedule 3].

the results of searches for any effective UCC financing statements, tax Liens or judgment Liens filed against any Loan Party or its property, which results shall not show any such Liens (other than Permitted Liens).
