Scope of Release contract clause examples

The provisions of this Release shall be deemed to obligate, extend to, and inure to the benefit of the parties; the Company's parents, subsidiaries, affiliates, successors, predecessors, assigns, directors, officers, and employees; and each party’s insurers, transferees, grantees, legatees, agents, personal representatives and heirs, including those who may assume any and all of the above-described capacities subsequent to the execution and Effective Date of this Release.

Scope of Release. This general release includes, but is not limited to: # all claims arising out of or in any way related to Executive’s employment with the Company or the termination of that employment; # all claims related to Executive’s compensation or benefits from the Company, including salary, bonuses, commissions, vacation pay, expense reimbursements, severance pay, fringe benefits, stock, stock options, or any other ownership or equity interests in the Company; # all claims for breach of contract, wrongful termination, and breach of the implied covenant of good faith and fair dealing (including claims based on or arising under the Agreement); # all tort claims, including claims for fraud, defamation, emotional distress, and discharge in violation of public policy; and # all federal, state, and local statutory claims, including claims for discrimination, harassment, retaliation, attorneys’ fees, or other claims arising under the federal Civil Rights Act of 1964 (as amended), the federal Americans with Disabilities Act of 1990, the federal Age Discrimination in Employment Act (as amended) (“ADEA’’), the federal Family and Medical Leave Act, the California Labor Code (as amended), the California Family Rights Act, and the California Fair Employment and Housing Act (as amended).

Scope of Release. The Released Claims include, but are not limited to: # all claims arising out of or in any way related to your employment with the Company, or the decision to terminate that employment; # all claims related to your compensation or benefits from the Company, including salary, bonuses, commissions, vacation, paid time off, expense reimbursements, severance pay, fringe benefits, stock, stock options, or any other ownership, equity, or profits interests in the Company;

Nothing in this Release # shall release the Company from any of its obligations set forth in the Separation Agreement (including with respect to the future vesting of outstanding equity awards as described on Exhibit A thereto and in the applicable award agreements) or any claim that by law is non-waivable, # shall release the Company from any obligation to defend and/or indemnify Executive against any third party claims arising out of any action or inaction by Executive during the time of his employment and within the scope of his duties with the Company to the extent Executive has any such defense or indemnification right, and to the extent permitted by applicable law and to the extent the claims are covered by the Company’s director & officer liability insurance or # shall affect Executive’s right to file a claim for workers’ compensation or unemployment insurance benefits.

Scope of Release. The Released Claims include, but are not limited to: # all claims arising out of or in any way related to your employment with or services for the Company or its affiliates, or the termination of that employment or those services; # all claims related to your compensation or benefits from the Company or its affiliates, including salary, bonuses, incentive compensation, commissions, paid time off, expense reimbursements, severance benefits, notice rights, fringe benefits, stock, restricted stock, stock options, or any other ownership interests in the Company or its affiliates; # all claims for breach of contract (oral or written), wrongful termination, and breach of the implied covenant of good faith and fair dealing; # all tort claims, including claims for fraud, misrepresentation, defamation, emotional distress, and discharge in violation of public policy; and # all constitutional, federal, state, and local statutory and common law claims, including claims for discrimination, harassment, retaliation, attorneys’ fees, or other claims arising under the federal Civil Rights Act of 1964 (as amended), the federal Americans with Disabilities Act of 1990 (as amended), the federal Age Discrimination in Employment Act of 1967 (as amended) (the “ADEA”), the California Labor Code (as amended), and the California Fair Employment and Housing Act (as amended).

Subject to the foregoing, the Released Claims include, but are not limited to: # all claims arising out of or in any way related to your employment with the Company, or the termination of that employment; # all claims related to your compensation or benefits from the Company, including salary, bonuses, commissions, vacation, paid time off, sick time, expense reimbursements, severance pay, fringe benefits, stock, stock options, or any other ownership, equity, or profits interests in the Company; # all claims for breach of contract, wrongful termination, and breach of the implied covenant of good faith and fair dealing; # all tort claims, including claims for fraud, defamation, emotional distress, and discharge in violation of public policy; and # all federal, state, and local statutory claims, including claims for discrimination, harassment, retaliation, attorneys’ fees, or other claims arising under the federal Civil Rights Act of 1964 (as amended), the federal Americans with Disabilities Act of 1990 (as amended), the federal Age Discrimination in Employment Act (as amended)(the “ADEA”), and the California Labor Code (as amended).
