Supplier shall manufacture and supply to Buyer and Buyer shall purchase from Supplier under the terms and conditions of this Agreement Buyer's requirements for the Products listed on Exhibit A as ordered by Buyer, in accordance with the product specifications set forth thereon, or as may otherwise be provided by Buyer to Supplier in writing from time to time ("Product Specifications"), at the prices set forth in Exhibit B. For purposes of this Agreement, "Products" shall mean and be limited to those products manufactured for Buyer by Supplier as listed on Exhibit A and any mutually agreed upon modifications thereto. Unless otherwise specifically agreed to in writing, this Agreement prevails over any additional, conflicting or inconsistent terms and conditions appearing on any quotation, purchase order, acknowledgement, invoice or other form used by the parties in connection with this Agreement.

SCOPE OF AGREEMENT. Nothing in this Agreement shall be deemed to alter the “at-will” nature of the Executive’s employment or entitle the Executive to continued employment with the Company.

Scope of Agreement. The parties agree that no promise, inducement or other agreement not expressly contained or referred to in this Agreement has been made conferring any benefit upon Employee. The Parties also agree that this Agreement contains the entire agreement between Employer and Employee regarding the terms of Employee’s employment and termination thereof with Employer and/or Employer’s parent company Financial Institutions, Inc., and supersedes and renders null and void any and all prior or contemporaneous oral or written understandings, statements, representations or promises, except those exceptions identified in this Agreement.

Scope of Agreement. Any and all other provisions of the Loan Agreement and any other Loan Documents are hereby amended and modified wherever necessary and even through not specifically addressed herein, so as to conform to the amendments and modifications set forth in this Agreement.

Scope of Agreement. Employee agrees that no promise, inducement or other agreement not expressly contained or referred to in this Agreement has been made conferring any benefit upon Employee. Employee also agrees that this Agreement contains the entire agreement between Employer and Employee regarding Employee’s employment and termination from employment and supersedes and renders null and void any and all prior or contemporaneous oral or written understandings, statements, representations promises, or written agreements, except that the terms and provisions of the Indemnity Agreement dated December 28, 2016 between Employee and Financial Institutions, Inc. will remain in full force and effect to the extent that the provisions contained in said agreement do not contravene or conflict with the terms of this Agreement.

Employee also agrees that this Agreement contains the entire agreement between Employer and Employee regarding Employee’s employment and termination from employment and supersedes and renders null and void any and all prior or contemporaneous oral or written understandings, statements, representations, promises, or written agreements.

Scope of Agreement. Nothing in this Agreement will be deemed to entitle you to continued employment or other service with the Company or any of its Affiliates, limit the rights of the Company or any of its Affiliates to terminate your employment at any time for any reason or alter the at-will nature of your employment.

Scope of Agreement. This Agreement shall bind and inure to the benefit of the Company and its successors and assigns and Participant and any successor(s) of Participant permitted by Section 2 or Section 4(e) above. This Option is expressly subject to all terms and conditions contained in the Plan and in this Agreement, and Participant’s failure to execute this Agreement shall not relieve Participant from complying with such terms and conditions.

Scope of Agreement. As a master form of contract, this Agreement allows the parties to contract for multiple Services through the issuance of multiple Work Orders, without having to re-negotiate the basic terms and conditions contained herein.

Scope of Agreement. The claims covered by this Section 9(h) include, but are not limited to, claims for breach of any contract or covenant, express or implied; claims for breach of any fiduciary duty or other duty owed to Executive by Company or to Company by Executive; tort claims; claims for wages or other compensation due; claims for discrimination or harassment, including but not limited to discrimination or harassment based on race, sex, pregnancy, religion, national origin, ancestry, age, marital status, physical disability, mental disability, medical condition, or sexual orientation; and claims for violation of any federal, state or other governmental constitution, statute, ordinance or regulation (as originally enacted and as amended), including but not limited to claims under Title VII of the Civil Rights Act of 1964 (“Title VII”), the Fair Labor Standards Act (“FLSA”), the Employee Retirement Income Security Act (“ERISA”), the Consolidated Omnibus Budget Reconciliation Act (“COBRA”), and the Family and Medical Leave Act (“FMLA”) (collectively, “Arbitrable Disputes”).
