Scope and Performance of Management Services. During the Term of this Agreement, Manager shall provide to Provider the Management Services which shall include but shall not be limited to the administrative, business, management and support services, equipment, personnel and supplies described in this Article. Manager shall provide the Management Services in such a time frame, manner and quality as to allow Provider to comply with the standards of practice required under Utah and federal law for all Provider Professionals.

Performance of Management Services. Provider authorizes and directs Manager to perform Manager’s Management Services under this Agreement in whatever commercially reasonable manner Manager deems appropriate to meet the day-to-day requirements of the non-professional business functions of Provider in compliance with all applicable federal, state and local statutes, rules and regulations; provided, however, that Manager shall perform such services in a cost-effective and quality manner while maintaining the standards required under this Agreement.

During the term of this Management Services Agreement, ​ will provide management services to ​ to enable the ​ to perform its obligations under the SMMl/BMET Management Services Agreement. The management services to be provided to ​ will include the services required to enable the BMET Parties to perform exploration and development work in respect of the Property in the manner contemplated in the Option Agreement (the "Management Services") including, but not limited to:

Management Services. The Manager will provide the Company with the following services:

Human resource management including assistance with hiring, training, locating temporary employment, providing employment-related forms, etc.;

Scope of Services. During the Term, Avail shall provide to Customer one or more “Service Types” as designated on [Schedule 1] to this Agreement (collectively, the “Strategic Services”).

Scope of Services. Service Provider will provide mutually agreed engineering, procurement, and construction support services, the categories of which are set forth in [Exhibit A] (Services and Division of Responsibility), as refined during the Transition Period, or otherwise agreed upon by the Parties.

Service Provider shall provide services to the Service Acceptor within the terms and according to the provisions of this Agreement in Hong Kong, as follows (the “Services”):

Cash Management Services. ​ may use availability hereunder up to the Cash Management Sublimit for ​'s cash management services, which may include merchant services, direct deposit of payroll, business credit card, and check cashing services identified in various cash management services agreements related to such services (the "Cash Management Services"). The entire Cash Management Sublimit will be treated as an Advance for purposes of determining availability under the Domestic Credit Limit and shall decrease, on a dollar-for-dollar basis, the amount available for other Advances. The Cash Management Services shall be subject to additional terms set forth in applicable cash management services agreements.

Asset Management Services. Gyrodyne shall or, subject to reimbursement pursuant to [Article 8], shall retain other Persons to (but shall remain responsible to GSD):
