Savings Clause. If this Agreement or any section, sentence, term or provision hereof is invalidated on any ground by any court of competent jurisdiction, the Company shall nevertheless indemnify the Indemnitee as to any Expenses which are incurred with respect to any Proceeding to the fullest extent permitted by any # applicable section, sentence, term or provision of this Agreement that has not been invalidated or # applicable law.

If this Agreement or any section, sentence, term or provision hereofportion thereof is invalidated on any ground by any court of competent jurisdiction, then the Company shall nevertheless indemnify the Indemnitee as to any Expenses which are incurredExpenses, judgment, fines and penalties with respect to any Proceeding to the fullestfull extent permitted by any # applicable section, sentence, term or provisionportion of this Agreement that hasshall not have been invalidated or #by any other applicable law.

If this Agreement[Article VI] or any section, sentence, termportion hereof shall be invalidated or provision hereof is invalidatedheld to be unenforceable on any ground by any court of competent jurisdiction, the decision of which shall not have been reversed on appeal, the Company shall nevertheless # indemnify the Indemniteeeach Indemnified Person as to any Expenses which are incurredcosts, charges and expenses (including attorneys' fees), judgments, fines and amounts paid in settlement and # advance expenses in accordance with [Section 2] of this [Article VI], in each case with respect to any Proceeding in connection with which he or she is an Indemnified Person, including an action by or in the right of the Company, to the fullest extent permitted by any # applicable section, sentence, term or provisionportion of this Agreement[Article VI] that hasshall not have been invalidated or #held to be unenforceable and as permitted by applicable law.
