Samples and Artwork. CKI may make available to the Licensee certain samples, designs, colors, fabric samples, tags, labels, packaging, catalogues and artwork already available to CKI,(that is developed for predecessor or other licensees for example), and the cost of providing such materials for use by Licensee shall be borne by the Licensee at CKI’s cost, but not to exceed ​ per annum without the Licensee’s prior consent, the payment for which shall be separate and apart from the payment of any CRK Fee for the development of such samples, designs, colors, fabric samples, tags, labels, packaging, catalogues and artwork. All right, title and interest in and to samples, sketches, designs, and other materials furnished to the Licensee or submitted by CKI in connection with the Licensed Products, including any modifications or improvements thereof which may be created by CKI, shall remain the sole property of CKI as between the Licensee and CKI, and are “licensed” hereunder solely and exclusively for use in connection with the manufacture, sale, distribution and promotion of Licensed Products in the Territory.

Provision of Samples. Company shall, within ​ of a request by Takeda, provide samples of any Bulk Drug Product alleged to be defective and copies of written reports or investigations performed to date by or on behalf of Company on such Bulk Drug Product.

Rental Property Samples. On the last Business Day of each Property Level Reporting Period, Seller Parties shall test, or caused to be tested, a random sample of at least twenty five (25%) percent of the Rental Properties subject to Transactions as of the first Business Day of such Property Level Reporting Period to confirm that # they are owned by the REO Subsidiary; # they have no Liens and # they maintain valid title insurance policies, or pro forma owner title policies, covering such Rental Properties, all in accordance with the terms hereof. Seller Parties shall use commercially reasonable efforts to ensure that for any Property Level Reporting Period they will sample Rental Properties not included in any of the three immediately preceding Property Level Reporting Periods. Notwithstanding the foregoing, if more than five percent (5%) of the Rental Properties in any one Property Level Reporting Period fail to meet the requirements set forth in [clauses (i)-(iii) above], Buyer shall have the right to increase the percentage of such sample in its sole discretion at the sole cost and expense of the Sellers.

Samples of Licensed Products. Before producing, selling or distributing any Licensed Product, Licensee shall submit samples of each of said Licensed Product and all labels, tags, packaging materials, tickets, advertising and promotional materials and all other forms of identification that bear the Trademarks (the “Labels”) to be affixed thereto to THL for its prior written approval, utilizing any reasonable submission form provided by THL. Any approval given hereunder shall state the duration of such approval; provided, however, that if a duration is not specified, such approval shall be valid for five years, although THL shall have the right and any time during such five year period to rescind such approval on reasonable notice to Licensee. Furthermore, THL reserves the right to update and change the design of any Licensed Product that carries over from one season to another. In addition, any such approvals shall authorize Licensee to make only such quantities of the approved item as Licensee and its Distributors reasonably expect to sell to Approved Accounts other than Off-Price Accounts, to THL and THL’s Affiliates (including for TH Stores and TH Sites) and to Licensed Stores and Licensed Sites. Licensee shall submit to THL production samples of Licensed Products, if available, upon THL’s reasonable request. Licensee shall provide all samples to THL at Licensee’s sole cost and expense. Once samples have been approved, Licensee may manufacture only in accordance with such approved samples and shall not make any material changes for manufacture without THL’s prior written approval. No Licensed Products (including samples) may be exhibited, displayed, distributed and/or sold by Licensee pursuant to this Agreement unless such Licensed Products are in substantial conformity with, and at least equal in, Quality to the samples previously approved by THL in accordance with this Section 5.8.

Cost of Designs, Samples. Licensee is solely responsible for all product development and associated expenses, including costs associated with the preparation and submission of designs to THL and all reasonable travel expenses incurred by THL if THL travels to Licensee’s factories or other facilities as part of the design process.

Human Biological Samples means human biological samples (including any derivatives or progeny thereof). For the avoidance of doubt, bone marrow samples and leukapheresis samples are deemed to be Human Biological Samples.

Retention of Records and Samples. Originals of the records and samples shall be retained by Manufacturer for one year following the date of Supplied Product expiry, or longer if required by cGMPs or other Applicable Laws or Manufacturer’s Quality System, at which time Manufacturer shall contact Acorda concerning the delivery to Acorda or the destruction of the documents and/or samples of Supplied Product. Subject to [Section 13.19], Manufacturer shall not destroy any samples or records without Acorda’s prior written consent. Without limiting the preceding sentence, following the expiration of Manufacturer’s obligation to retain samples, Acorda will be responsible for retaining samples of the Supplied Product necessary to comply with the legal/regulatory requirements applicable to Acorda.

Runway Shows and Other Samples. The Licensee shall provide to CKI without charge, such reasonable quantity of Licensed Product as is determined and requested by CKI, sample lines comprising key styles, up to two (2) complete sets for each seasonal collection of Licensed Products, for use in fashion shows and for representative merchandising display of merchandise produced by CKI or other licensees of CKI and for use by CKI in the promotion of Licensed Products, including advertising shoots, public relations promotions, editorial promotions, press coverage and celebrity use, including where needed in advance of regular production cycles (e.g., fashion shows, merchandising displays within showrooms, advertising shoots). ​.

Delivery or Destruction of Samples. Reata shall have the right, but not the obligation, to request that [[AbbVie:Organization]] either deliver to Reata at an address to be designated by Reata or destroy the Samples by providing written notice to [[AbbVie:Organization]], such notice to be provided on or before February 29, 2020. Within thirty (30) days following [[AbbVie:Organization]]’s receipt of such request, [[AbbVie:Organization]] shall either deliver or destroy the Samples, as the case may be, in accordance with such request. If Reata requests that [[AbbVie:Organization]] destroy the Samples, [[AbbVie:Organization]] shall deliver to Reata a certification of destruction within ten (10) days following the destruction of the Samples. Reata will reimburse [[AbbVie:Organization]] for the reasonable out-of-pocket expenses incurred by [[AbbVie:Organization]] in connection with either the delivery or destruction of the Samples, as the case may be, within thirty (30) days following Reata’s receipt of an invoice for such expenses. For clarity, unless requested in writing by Reata on or before February 29, 2020, [[AbbVie:Organization]] shall have no obligation to Reata with respect to the Samples and shall be permitted to retain or destroy such Samples in its sole discretion.

Total cost will be USD ​ for ​ samples. If the number of samples is more than ​ samples, additional costs will be USD ​ per sample.
