Sales-Based Milestone Payments. In accordance with the terms and conditions of this Agreement, in the event that the aggregate of all Net Sales of all Products made by Licensee or any of its Affiliates or sublicensees (as applicable) in a given Calendar Year exceeds a threshold Confidential (each, an “Annual Net Sales Milestone Threshold”) set forth in the left-hand column of the table immediately below (the “Annual Net Sales-Based Milestone Table”), Licensee shall pay to MSD a one-time milestone payment (each, an “Annual Net Sales-Based Milestone Payment”) in the corresponding amount set forth in the right-hand column of the Annual Net Sales-Based Milestone Table with respect to the first time such milestone event is achieved. In the event that in a given Calendar Year more than one (1) Annual Net Sales Milestone Threshold is exceeded, Licensee shall pay to MSD a separate Annual Net Sales-Based Milestone Payment with respect to each Annual Net Sales Milestone Threshold that is exceeded in such Calendar Year. Each such milestone payment shall be due within ​ days of the end of the Calendar Year in which such milestone was achieved.

Sales Milestone Events. Subject to the remainder of this [Section 8.6], Neurocrine shall pay to Xenon the sales milestone payments set forth in the table below when the aggregate annual Net Sales of any Product sold in the Territory in a calendar year first reach the corresponding threshold value indicated below.

Milestone Payments. Upon the first occurrence of any of the following milestones events with respect to a Licensed Product, [[Organization A:Organization]] shall pay [[Agenus:Organization]] the corresponding non-refundable, non-creditable amounts:

Milestone Payments. In addition, in consideration of services performed by Bioeq to achieve the milestone events set forth below, Licensee shall pay to Bioeq the following one-time, non-refundable (except as provided in [Section 15.3.6]), non-creditable development milestone payments upon the first occurrence of any of the following milestone events; provided, that ​:

Milestone Payments. Takeda shall pay to Ovid the following ​ milestone payments within ​ following and subject to the first occurrence of each event set forth below (the “Milestone Payments”):

Milestone Payments. In partial consideration of the rights granted by MTEM to BMS hereunder, on a Collaboration Target-by-Collaboration Target basis, BMS shall pay to MTEM the non-refundable, non-creditable milestone payments upon the first achievement of each of the following milestone events for the first Licensed Product Directed to such Collaboration Target to achieve such milestone event (whether by or on behalf of BMS or its Affiliates or Sublicensees, provided that subsequent milestone events not met by the first Licensed

#First Product. Abbott shall make each of the following non-refundable, non-creditable payments to Enanta within thirty (30) days after the occurrence of each of the following milestone events for the first Candidate or Product, as the case may be, that is not a Co-Developed Product (the “Initial Product”):

Milestone Payments. IMMEDICA shall notify LICENSOR ​ upon achievement of each Milestone. IMMEDICA shall pay to LICENSOR each applicable milestone payment set forth in [Schedule B] (each, a “Milestone Payment”) within ​ after such Milestone is achieved, subject to the receipt of the applicable invoice from the LICENSOR.

In further consideration of the licenses and rights granted to IMMEDICA hereunder, upon achievement of each Milestone set forth below, the corresponding non-creditable and non-refundable Milestone Payments shall be payable by IMMEDICA to LICENSOR:

Upon delivery of a ​ by Fulcrum to [[MyoKardia:Organization]] pursuant to Section ​ (such achievement the “[**] Milestone”), [[MyoKardia:Organization]] will pay Fulcrum a non-refundable payment of ​ within ​ after receipt by [[MyoKardia:Organization]] of a corresponding invoice from Fulcrum (“​ Milestone Payment”); provided, however, that if ​, [[MyoKardia:Organization]] will pay Fulcrum the ​ Milestone Payment ​ within ​ after receipt by [[MyoKardia:Organization]] of a corresponding invoice from Fulcrum. For the avoidance of doubt, the ​ Milestone Payment shall be payable only once.
