Safeguards contract clause examples

Safeguards. Where Contractor stores or Processes American Data, Contractor shall and shall cause its Contractor Agents to establish and maintain a secure environment for all American Data and any hardware and software (including servers, network and data components) to be provided or used by Contractor or its Contractor Agents to store or Process American Data. Contractor represents, warrants and covenants that the security measures they take in performance of their obligations under this Agreement are, and will at all times remain, consistent with the following (collectively referred to herein as “Security Best Practices”): # the security requirements, obligations, specifications and event reporting procedures set forth in [Exhibit D], including, without limitation, the Security Requirements and # any security requirements, obligations, specifications and/or event reporting procedures required by American in writing from time to time. Failure by Contractor to comply with Security Best Practices in fulfilling their obligations hereunder shall constitute a breach of this Agreement.

§ 10.2.3 The Design-Builder shall implement, erect, and maintain, as required by existing conditions and performance of the Construction Work, reasonable safeguards for safety and protection, including posting danger signs and other warnings against hazards, promulgating safety regulations, and notify owners and users of adjacent sites and utilities of the safeguards and protections.

#Compliance with Data Security Laws. Provider will comply with all Provider Laws, as well as the written security procedures set forth in [Exhibit D], with respect to the security of BFA Data.

§ 10.2.3 The Design-Builder shall implement, erect, and maintain, as required by existing conditions and performance of the Contract, reasonable safeguards for safety and protection, including posting danger signs and other warnings against hazards, promulgating safety regulations, and notify owners and users of adjacent sites and utilities of the safeguards and protections.

Safeguards. If Relay is conducting Development activities for a Relay Pipeline Combination, and Licensee is conducting Development activities for a ​ Combination that includes a compound or product that is Directed to the same target as the Relay Pipeline Compound included in such Relay Pipeline Combination (​) (such Licensee Combination Development activities and such Relay Pipeline Combination Development activities, a “Competing Program” of the Party conducting such activities), then each Party will establish reasonable protections and safeguards to protect against the other Party’s Confidential Information regarding such other Party’s Confidential Information of the Competing Program ​.

Safeguards. Onboarding Agent shall use, or require Provider to use, all appropriate or reasonable legal, organizational, physical, administrative and technical measures and security procedures to safeguard and ensure the security of the Owner Data and to protect Owner Data from unauthorized access, disclosure, duplication, use, modification or loss. In implementing such measures and procedures, Onboarding Agent will use, or require Provider to use, at least the same level of care (including both physical security and electronic security) to prevent unauthorized access by, storage, disclosure, publication, dissemination to and/or use by third parties of, Owner Data, as it employs, and Owner employs, to avoid unauthorized access, storage, disclosure, publication, dissemination or use of their own information of a similar nature, but in no event less than a reasonable standard of care.

Data Security. Medidata utilizes administrative, physical and technical safeguards to protect Customer Data that are no less rigorous than accepted industry practices. Medidata verifies such physical and technical safeguards as described at https://www.medidata.com/en/trust-and-transparency/.

Appropriate Safeguards. Business Associate agrees to use commercially reasonable and appropriate efforts to maintain the privacy and security of PHI and to prevent unauthorized use or disclosure of PHI. Such efforts shall include the adoption and enforcement of policies and procedures to effectively implement the requirements of HIPAA and securing PHI according to HIPAA requirements.

Safeguards. Provider will establish and maintain # safeguards to protect the confidentiality, integrity and availability of BFA Data and the systems Provider uses to provide the Services against the destruction, loss, or alteration of BFA Data; # safeguards against the unauthorized access to such data; and # network and internet security procedures, protocols, security gateways and firewalls with respect to such data. All of the foregoing shall be no less rigorous than those safeguards and procedures set forth in [Exhibit D]. Any material changes that degrade the safeguards in [Exhibit D] that are specifically designated as safeguards that Provider has agreed to adopt specifically for the BFA Recipients will require prior review and approval from the affected BFA Recipients, which approval shall not be unreasonably withheld.
