Tenant shall comply with the reasonable Rules and Regulations established from time to time by Landlord, provided such rules and regulations shall not impact Tenant’s use of the Premises for the Permitted Uses. Landlord shall not be liable to Tenant for # the failure of other tenants to comply with such Rules and Regulations, # the failure of other tenants to comply with any term or provision of their respective leases or # any nuisance or wrongful, negligent, improper, offensive or unlawful act or omission of any such other tenant.

Tenant shall, at all times during the Term and any extension thereof, comply with all reasonable rules and regulations at any time or from time to time established by Landlord covering use of the Premises and the Project. If there is any conflict between said rules and regulations and other provisions of this Lease, the terms and provisions of this Lease shall control. Tenant will faithfully observe and comply with the Rules and Regulations attached hereto as [Exhibits 9], 9-1, and 9-2 (collectively, the “Current Rules and Regulations”) and reasonable rules and regulations as may be promulgated in writing to Tenant, from time to time, with respect to the Building, the Property and construction within the Property (collectively, the “Rules and Regulations”). The Current Rules and Regulations consist of the Building Rules and Regulations attached hereto as Exhibit 9, the Contractor Rules and Regulations attached hereto as Exhibit 9-1, and the Tenant Work Insurance Schedule attached hereto as Exhibit 9-2. In the case of any conflict between the provisions of this Lease and the Rules and Regulations or any future rules and regulations, the provisions of this Lease shall control. Landlord agrees to uniformly enforce the Rules and Regulations or the terms, covenants or conditions in any other lease as against any other tenant, provided that Landlord shall not be liable to Tenant for violation of the same by any other tenant, its servants, employees, agents, contractors, visitors, invitees or licensees.

Such rules and regulations may include, without limitation, rules and regulations which are intended to encourage social distancing, promote and protect health and physical well-being within the Building and the Project and/or intended to limit the spread of Infectious Conditions. Tenant shall comply with Landlord’s rules and regulations attached hereto as [Exhibit 5.5] and as otherwise promulgated or revised from time to time (the “Rules and Regulations”), provided the same are not inconsistent with or in limitation of the provisions of this Lease and are reasonable, and Tenant shall use reasonable efforts to cause its agents, contractors, customers and business invitees to comply therewith. If there is any inconsistency between this Lease and the Rules and Regulations, this Lease shall govern. Landlord shall not discriminate in its application and enforcement of the Rules and Regulations against Tenant.

RULES AND REGULATIONS. Tenant agrees to comply with all reasonable rules and regulations Landlord may adopt from time to time for the operation, protection and welfare of the Building, its tenants, visitors and occupants, once Tenant is provided with a written copy of the same, provided that any rules and regulations adopted by Landlord shall not materially adversely affect Tenant’s ability to operate its Allowable Use of the Leased Premises and that all rules and regulations shall apply uniformly to all office tenants of Libbie Mill – Midtown. The present rules and regulations, which Tenant hereby agrees to comply with, entitled “Rules and Regulations” are attached hereto as Exhibit “C” respectively and are by this reference incorporated herein. Any future rules and regulations shall become a part of this Lease, and Tenant hereby agrees to comply with the same upon delivery of a copy thereof to Tenant.

Tenant shall and shall ensure that its contractors, subcontractors, employees, subtenants and invitees faithfully observe and comply with the rules and regulations adopted by Landlord and attached hereto as Exhibit F, together with such other reasonable and nondiscriminatory rules and regulations as are hereafter promulgated by Landlord in its sole and absolute discretion (the “Rules and Regulations”).

Rules and Regulations. Tenant shall be solely responsible for paying the cost of any and all ancillary services requested by and provided to Tenant, and the cost of any and all goods and services provided to Tenant by any food services operators and/or any third party vendors at any Submarket Project. Tenant shall use the Submarket Amenities in compliance with all applicable Legal Requirements and any reasonable rules and regulations imposed by applicable Submarket Landlord or Landlord from time to time and in a manner that will not interfere with the rights of other Users, which rules and regulations shall be enacted and enforced in a non-discriminatory manner and may include, # usage of and compliance with reservations systems governing the use of certain facilities, # the payment of additional costs in connection with the after-hours usage of any facilities, # access card entry requirements, and # rules and regulations intended to encourage social distancing, promote and protect health and physical well-being and/or intended to limit the spread of Infectious Conditions. The use of Submarket Amenities by employees of Tenant shall be in accordance with the terms and conditions of commercially reasonable licenses, indemnification and waiver agreements required by applicable Submarket Landlord or the operator of the Submarket Amenities to be executed by all persons wishing to use such Submarket Amenities. Neither Landlord nor any Submarket Landlord (nor any other affiliate of Landlord or any Submarket Landlord) shall have any liability or obligation for the breach of any rules or regulations by other Users with respect to the Submarket Amenities. Tenant shall not make any alterations, additions, or improvements of any kind to the Submarket Amenities or any Submarket Project.
