Royalty Reports and Payments. After the first sale of a product on which royalties are payable by a Party hereunder, such Party shall make quarterly written reports to the other Party within sixty (60) days after the end of each calendar quarter, stating in each such report, separately the number, description, and aggregate Net Sales, by territory, of each such Product, Other Biogen Idec Product, Reverted Product, Sunesis Product, [[Unknown Identifier]] Product or [[Unknown Identifier]] Reverted Product sold during the calendar quarter upon which a royalty is payable under [Section 7.5] or [Section 7.6] above, as applicable. Concurrently with the making of such reports, such Party shall pay to the other Party royalties due at the rates specified in [Section 7.5] or [Section 7.6] above, as applicable.

Royalty Payments and Reports. Ono shall report to [[Forty Seven:Organization]] in writing all amounts payable to [[Forty Seven:Organization]] pursuant to [Section 9.3] within ​ following the end of each Calendar Quarter. Such report shall include the converted US Dollar amounts, which conversion shall be made at the Exchange Rate for each calendar month in the Calendar Quarter. Such written report shall include, on a consolidated basis in reasonably specific detail and on a country-by-country basis, # the Net Sales of Products sold by Ono, its Affiliates and its Sublicensees in the Ono Territory during the corresponding Calendar Quarter, including a description of the credits and offsets deducted on a Product-by-Product and country-by-country basis to calculate Net Sales; # the royalties payable in US Dollars, if any, which shall have accrued hereunder based upon such Net Sales of Products; # the withholding taxes, if any, required by law to be deducted in respect of such royalties; # the dates of the First Commercial Sale of each Product in each country in the Ono Territory, if it has occurred during the corresponding Calendar Quarter; and # an itemized calculation of the exchange rate used by Ono in determining the royalty amount expressed in [[Address B:Address]]ese Yen, in accordance with Ono’s consolidated accounting procedure, as consistently Execution Version

Royalty Reports and Payments. All payments under Section 4.1 shall be due and payable within ​ during which the corresponding Net Sales are made. Together with any such payment, Licensee shall deliver a report specifying in the aggregate and on Product-by-Product basis: # total gross invoiced amount from sales of Products by Licensee; # amounts deducted by category (as identified in Section 1.7) from gross invoiced amounts to calculate Net Sales; # Net Sales and # royalties payable. If no royalties are due, Licensee shall so report. Such reports shall be deemed to be the Confidential Information of Licensee.

Promptly following the delivery of the applicable quarterly report, NVCR shall invoice Zai for the royalties due to NVCR with respect to Net Sales by Zai, its Affiliates and their respective sublicensees for such Calendar Quarter, and Zai shall pay such amounts to NVCR in Dollars within ​ following Zai’s receipt of such invoice, provided that, if a government or regulatory action (or inaction) prevents Zai from making such payment to NVCR within such ​ period, then Zai shall have up to ​ following its receipt of such invoice from NVCR to remit such payment to NVCR.

Royalty Payments and Reports. Within ​ after the end of each ​, commencing with the ​ in which the First Commercial Sale occurs, Licensee shall deliver to Licensor a report (each, a “Royalty Report”) setting out in compliance with the template attached in EXHIBIT 8 all details necessary to calculate the payments due under this Article 6.4, including Royalty Bearing Net Sales in the relevant ​ on a country-by-country basis, all relevant exchange rate conversions in accordance with [Article 7.3] and the amount of any payment due from Licensee to Licensor, calculated in accordance with this Article 6. Licensee shall provide preliminary estimated Royalty Report within ​ of the end of each ​. The royalty payment shall be due within ​ of receipt by Licensee of an invoice from Licensor and issued no earlier than the date of receipt of the Royalty Report by Licensor.

Royalty Payments and Reports. Reata shall calculate all amounts payable pursuant to [Section 5.2(a)] at the end of each Calendar Quarter, which amounts shall be converted to Dollars, in accordance with [Section 5.3]. Reata shall pay to [[AbbVie:Organization]] the royalty amounts due with respect to a given Calendar Quarter within forty-five (45) days after the end of such Calendar Quarter, except for the fourth Calendar Quarter of each Calendar Year, in such case Reata shall pay to [[AbbVie:Organization]] such amounts within sixty (60) days after the end of such Calendar Quarter. Each payment of royalties due to [[AbbVie:Organization]] shall be accompanied by a statement of the amount of gross sales and Net Sales (and the calculations thereof) of each Royalty Product in each country in the Territory during the applicable Calendar Quarter (including such amounts expressed in local currency and as converted to Dollars) and a calculation of the amount of royalty payment due on such Net Sales for such Calendar Quarter. Without limiting the generality of the foregoing, Reata shall require each of its Affiliates and its and their Sublicensees/Distributors to account for its Net Sales and to provide such reports with respect thereto as if such sales were made by Reata.

Royalty Reports and Payments. Within ​ after the end of each Calendar Quarter, commencing with the Calendar Quarter of the First Commercial Sale of the first Licensed Product in the Territory, Alexion shall provide Eidos with a report that contains the following information for the applicable Calendar Quarter, on a Licensed Product-by-Licensed Product basis: # gross sales and Net Sales (including reasonable detail for deductions from gross sales to Net Sales) on a Licensed Product-by-Licensed Product basis, and # the royalties payable under this [Section 7.4] (including reasonable detail for any deductions to such royalties taken pursuant to [Section 7.4(c)]) for such Calendar Quarter. Concurrently with the delivery of such report, Alexion shall pay to Eidos the royalties payable under this [Section 7.4] for such Calendar Quarter.
