Royalty Reporting. Starting from the date of First Commercial Sale of the Licensed Product(s) in any country, Bayer shall submit within [​] days after the end of each Quarter a good faith, non-binding, preliminary indication of Net Sales achieved within the previous Quarter (such preliminary indication not including any further breakdown, e.g., into countries, Licensed Products). Within [​] days of the end of each Quarter, Bayer shall prepare and deliver to Atara a written statement setting forth:

With each royalty payment Roche shall provide Atea in writing for the relevant Calendar Quarter on a Product-by-Product basis the following information:

Royalty Reporting. Each Calendar Quarter following the First Commercial Sale of a Licensed Product in the Net Sales Territory, GSK shall furnish to ITEOS a written report showing on a Licensed Product–by–Licensed Product and country-by-country basis # the Net Sales and # the calculation of the royalties payable under this Agreement on account of those Net Sales. GSK will keep and cause its Affiliates to keep, complete and accurate records in sufficient detail to enable the royalties payable to be determined and the information provided to be verified. Each royalty report along with the royalties shown to have accrued on that report are due and payable to ITEOS within ​ days following the end of such Calendar Quarter. All payments due under this [Section 8.7] (Royalties and Payments) shall be made by bank wire transfer in immediately available funds to an account designated by ITEOS.

Royalty Reporting. Each Calendar Quarter following the First Commercial Sale of a Licensed Product in the applicable Net Sales Territory, GSK shall furnish to IDEAYA a written report showing on a Licensed Product–by–Licensed Product and country-by-country basis # the Net Sales; and # the calculation of the royalties payable under this Agreement on account of those Net Sales. Each royalty report along with the royalties shown to have accrued on that report are due and payable to IDEAYA within ​ days following the end of such Calendar Quarter. All payments due under this [Section 7.12] shall be made by bank wire transfer in immediately available funds to an account designated by IDEAYA.

Licensee will calculate all amounts payable to Relay pursuant to Section 11.6 at the end of each Calendar Quarter and will pay to Relay the royalty amounts due with respect to a given Calendar Quarter within ​ after the end of such Calendar Quarter. Each payment of royalties due to Relay will be accompanied by a statement of the amount of Sales and Net Sales of each Licensed Product in each country in the Royalty Territory or Territory, as applicable, during the applicable Calendar Quarter (including such amounts expressed in local currency and as converted to Dollars) and a detailed calculation of the amount of royalty payment due on such Net Sales for such Calendar Quarter (including all deductions and reductions).

Royalty Reporting and Payments. Royalty payments due shall be payable in United States dollars ​ after the end of each Janssen Calendar Quarter during the Term. Each payment of royalties due under this Agreement will be accompanied with a royalty report setting forth, on a Licensed Product-by-Licensed Product and country-by-country basis: # the amount of Net Sales of Licensed Product by Janssen, its Affiliates and sublicensees; # the conversion of such Net Sales from the currency of sale into US dollars in accordance with [Section 9.4], as applicable; and # a calculation of the aggregate amount of royalties owed based on such Net Sales, including the application of the reductions or credits, if any, made in accordance with the terms of [Section 8.5.5].

Royalty. In partial consideration for the rights, license and Option granted under this Agreement, Chondrial will pay to IU a royalty of # ​ of Net Sales by Chondrial, Affiliates, or Sublicensees in Patent Countries and # ​ of Net Sales by Chondrial, Affiliates, or Sublicensees in Non-Patent Countries.

Royalty. In consideration of the rights granted hereunder, Licensee shall pay to Licensor fees as set forth on the applicable License Schedule (“Royalty”).

Reporting. As of the First Commercial Sale of any Licensed Products in the Field in the Territory, within ​ days after the end of each calendar quarter, Licensee shall deliver to Bioeq Confidential

Reporting. Each Issuing Bank shall # provide to the Administrative Agent copies of any notice received from the Borrower pursuant to [Section 2.05(b)] promptly upon receipt thereof, # provide the Administrative Agent with a copy of the Letter of Credit, or the amendment, renewal or extension of the Letter of Credit, as applicable, on the Business Day on which such Issuing Bank issues, amends, renews or extends any Letter of Credit, # on each Business Day on which such Issuing Bank makes any Revolving L/C Disbursement, advise the Administrative Agent of the date of such Revolving L/C Disbursement and the amount of such Revolving L/C Disbursement, # furnish the Administrative Agent with such other information as the Administrative Agent shall reasonably request and # on any Business Day on which the Borrower fails to reimburse a Revolving L/C Disbursement required to be reimbursed to such Issuing Bank on such day, notify the Administrative Agent of the date of such failure and the amount of such Revolving L/C Disbursement. If requested by any Lender, the Administrative Agent shall provide copies to such Lender of the documents referred to in clause (ii) of the preceding sentence.
