Right to Terminate. During the Employment Period, # the Company shall be entitled to terminate the Executive’s employment # for Cause, # by reason of the Executive’s disability pursuant to Section 11, or # for any other reason, and # the Executive shall be entitled to terminate the Executive’s employment for any reason. Any such termination shall be subject to the procedures set forth in Section 12 and shall be subject to any consequences of such termination set forth in this Agreement. Any termination of the Executive’s employment during the Employment Period by the Employer shall be deemed a termination by the Company for purposes of this Agreement.

Right to Terminate. During the Employment Period, # the Company shall be entitled to terminate the Executive’s employment # for Cause, # by reason of the Executive’s disability pursuant to Section 11, or # for any other reason, and # the Executive shall be entitled to terminate the Executive’s employment for any reason. Any such termination shall be subject to the procedures set forth in Section 12 and shall be subject to any consequences of such termination set forth in this Agreement. Any termination of the Executive’s employment during the Employment Period by the Employer shall be deemed a termination by the Company for purposes of this Agreement.

Involuntary Termination by the Company Other Than For Permanent and Total Disability or For Cause. The Company may terminate the Executive’s employment at any time and for any reason (other than for Permanent and Total Disability as provided in subsection # below, or for Cause as provided in subsection # below) by giving him a written notice of termination to that effect at least five (5) business days before the date of termination. In the event the Company terminates the Executive’s employment for any reason other than for Permanent and Total Disability (as provided in subsection # below), or for Cause (as provided in Section # below), the Executive shall be entitled to the compensation described in Section 9.

General Termination Provisions. The Employment Term and the Executive's employment hereunder may be terminated # by either the Company or the Executive at any time and for any reason on at least sixty (60) days advance written notice to the other party, # automatically upon the Executive's death, # by the Company in the event of the Executive's disability (as reasonably determined by the Company), # by the Executive for Good Reason, or # by the Company for Cause. Upon termination of the Executive's employment, the Executive shall be entitled to the compensation and benefits described in this Section ‎5 and shall have no further rights to any compensation or any other benefits from the Company under this Agreement.

General. The Term of Employment shall terminate upon the earliest to occur of # Executive’s death, # a termination by reason of a Disability, # a termination by the Company with or without Cause, or # a termination by Executive with or without Good Reason. Upon any termination of Executive’s employment for any reason, except as may otherwise be requested by the Company in writing and agreed upon in writing by Executive,

Termination by the Company for Cause. The Company shall have the right to terminate Executive’s employment at any time during the Employment Period for Cause by giving notice to Executive as provided in Section 6(d) hereof. In the event Executive’s employment is terminated for Cause, the Company’s sole obligation shall be to pay or provide to Executive any Accrued Obligations.
