Employee understands that the above list is not exhaustive, and that Confidential Information also includes other information that is marked or otherwise identified as confidential or proprietary, or that would otherwise appear to a reasonable person to be confidential or proprietary in the context and circumstances in which the information is known or used. For purposes of this Agreement, “Person” means an individual, corporation, partnership, joint venture, limited liability company, governmental authority, unincorporated organization, trust, association, or other entity.

Employee understandsGroup members may reasonably treat or designate as confidential from time to time. Employee shall, however, maintain the confidentiality of all Confidential Information whether or otherwise identified as confidential or proprietary, or that would otherwise appear to a reasonable personnot ultimately determined to be confidential or proprietary in the context and circumstances in which the information is known or used. Employee understands that the above list is not exhaustive, and thatgenerated for customer engagements. Confidential Information also includes otherinformation received by the Company from others which the Company has an obligation to treat as confidential, including information obtained in connection with customer engagements. Confidential Information shall not include information that is marked or otherwise identifiedbecomes available to the public through no wrongful act or omission of Employee. The parties agree that the Company's Confidential Information was established at great expense and protected as confidential information and provides the Company with a substantial competitive advantage in conducting its business. The parties further agree that by virtue of the Employee's employment with the Company, Employee will have access to, and be entrusted with, Confidential Information and that the Company would suffer great loss and injury if the Employee would disclose this information or proprietary,use it to compete with the Company.
